In general, investment in the United States will be in the form of a subsidiary. It is possible for a non-U.S corporation to operate a branch office in the United States, but there are significant disadvantages to a branch, particularly with respect to its tax treatment.
Branches of non-U.S corporations are not subject to federal regulation or registration requirements. However, each state will require a “foreign” corporation to “qualify” before “doing business” in that state. A corporation will be considered “foreign” if it is organized under the laws of another country or another state, and so this is a requirement imposed only on non-U.S investors.

America’s continuing economic recession compounded with a variety of uncertainties is having a great impact on job opportunities. As dean of the college, I am acutely aware that you grads are sought-after people in the job market. A recent reports says, Bear Stearns has withdrawn opportunities formerly considered to be given to hundreds of financial grads. Definitely, this is in line with the general climate of U.S. companies’ laying-off grads. However, even if the economical market is devastated, we should not be downhearted. As when each company lays off workers, it also needs new workers, in particular, an injection of new blood, therefore the prospects are very hopeful for grads this year.
