4. 知识产权
(a) 任何与xxxx，xxxx关联公司，产品和形象相关的知识产权为xxxx集团单独所有；
(b) 本电子商务政策并不表示授权经销商从xxxx集团处获得使用xxxx知识产权的许可；
(c) 授权经销商应严格遵守知识产权保护备忘录和其他xxxx不时颁布的指示；
(d) 授权经销商不得擅自使用与xxxx知识产权相同、相近似或者非近似的设备、设计、形式或标志；
(e) 在不影响前述规定的前提下，任何部分的该等知识产权不归属于xxxx(而是通过法律或其它方式获得)，授权经销商同意不可撤销且无条件得将该等知识产权上的权利、名义和利益(包括未来转让的权利)转让给xxxx，授权经销商并同意签署任何和所有的xxxx要求的文件以转让或确认转让。
5. 概括规定
授权经销商承认并同意：
(a) 通过其互联网站经营商业时，应遵守所有适用的国际的、国家的、政府的、地区的、当地的法律法律和行业惯例，包括但不限于遵守广告法律法规；
(b) 授权经销商自担风险，以自己名义和以其账户销售产品，并无权以xxxx的代理或以其他名义代表xxxx；
(c) 如xxxx认为授权经销商未遵守本电子商务政策，xxxx有权考虑该等违反为授权经销商对零售销售协议的违反；
(d) 本电子商务政策的标题仅为方便而设，不影响解释。

4. Intellectual Property Rights
Retailer acknowledges and agrees that:
(a) (as between Retailer and xxxx) the xxxx Group is and shall be the sole and exclusive owner or interest holder of all Intellectual Property Rights relating to xxxx, xxxx’ Association, the Products and the Trade Marks
(b) nothing contained in these E-Commerce Guidelines shall be construed as granting to Retailer any right or licence relating to such Intellectual Property Rights, except those necessary and incidental to Retailer in selling or offering for sale Products in accordance with these E-Commerce Guidelines;
(c) Retailer shall use such Intellectual Property Rights in compliance with xxxx Intellectual Property Memo and any other instructions issued by xxxx from time to time;
(d) Retailer shall refrain from using any devices, designs, patterns or symbols which are identical or similar to any such Intellectual Property Rights; and
(e) without prejudice to the other provisions of these E-Commerce Guidelines, if and to the extent that any part of such Intellectual Property Rights does not vest in xxxx (through operation of law or otherwise), Retailer hereby irrevocably and unconditionally assigns to xxxx all right, title and interest in and to such Intellectual Property Rights (including by way of a present assignment of future rights), and Retailer further agrees to execute any and all documents required by xxxx to vest or confirm the vesting of the same.
5. General
Retailer acknowledges and agrees that:
(a) Retailer shall comply with all applicable international, national, state, regional and local laws, regulations and industry customs in conducting business through its Internet Site, including without limitation compliance with advertising rules and regulations;
(b) Retailer resells the Products at its own risk, in its own name and on its own account and Retailer does not have any right to represent xxxx as an agent or otherwise;
(c) if, in xxxx’ opinion, Retailer does not comply with any of the provisions of these E-Commerce Guidelines, xxxx shall be entitled to consider such non-compliance as being a breach of Retailer Sales Agreement and has the right to terminate the Retailer Sales Agreement; and
(e) the paragraph headings of these E-Commerce Guidelines are not intended to affect their interpretation.
