SUBWAY FRANCHISEE ADVERTISING FUND TRUST BV
ADVERTISING AGENCY AGREEMENT
THIS AGREEMENT is entered into this _____ day of ________, 200__, with an effective date of January 1, 2009, by and between Subway Franchisee Advertising Fund Trust BV ("SFAFT BV"), a Netherlands limited liability company with registered address in Amsterdam, the Netherlands, and Beijing Saidu Advertising Co., Ltd., ("Agency"), with offices at Rm 803, Zhongliang Kaida Building, Minwangyi 19, East Hepingli Street, Dongcheng District, Beijing, China.
RECITALS
A. Doctor¡¯s Associates Inc., a Florida, USA corporation with a principal office in Fort Lauderdale, Florida, USA ("DAI"), owns a proprietary system (the ¡°System¡±) for establishing and operating restaurants featuring sandwiches and salads under DAI¡¯s trade name and service mark SUBWAY® (the ¡°SUBWAY® Restaurants¡±). DAI developed the System spending considerable money, time, and effort. The System includes the trademark SUBWAY®, other trademarks, trade names, service marks, commercial announcements (the ¡°slogans¡±) and related insignia (the ¡°logos¡±) DAI owns (the ¡°Marks¡±). The System also includes goodwill associated with the Marks, trade dress, recipes, formulas, food preparation procedures, business methods, forms, policies, trade secrets, knowledge and techniques.
B. DAI, through a series of agreements, has granted others (¡°Franchisors¡± as further defined herein) the right to license the System to third parties (¡°Franchisees¡±) via a franchise agreement (¡°Franchise Agreement¡±). In most countries outside of the United States, Subway International B.V., a Netherlands Limited Liability Company (¡°SIBV¡±) acts as the Franchisor; in Brazil, Subway Systems do Brasil, LTDA. (¡°SSB¡±) acts as the Franchisor; in Colombia, Subway Partners Colombia C.V. (¡°SPCCV¡±) acts as the Franchisor; in India, Subway Systems India Pvt Ltd. (¡°SSIPL¡±) acts as the Franchisor; in South Africa, Sandwich and Salad Franchises of South Africa (Proprietary) Limited (¡°SSFSA¡±) acts as the Franchisor.
C. Under the terms of the Franchise Agreement, Franchisees are required to pay a percentage of gross sales into an advertising fund established for the benefit of SUBWAY® franchisees; a portion of said funds is used for administration and chain-wide advertising and a portion is dedicated to local market advertising.
D. Stichting Administratiekantoor Subway Franchisee Advertising Fund Trust (the ¡°SFAFT Foundation¡±) is established to manage advertising funds for the benefit of SUBWAY® franchisees. Advertising fund administration includes but is not limited to facilitating: the creation of advertising programs to enhance franchisees¡¯ sales; the provision of advertising materials to franchisees, and; consolidation of the franchisees¡¯ contributions for effective purchasing of media advertising.
E. SFAFT BV will carry out the operations of the SFAFT Foundation, by overseeing the chain-wide, regional, country and local market advertising along with the SFAFT Foundation Board (the ¡°Foundation Board¡±).
F. DAI has granted the SFAFT Foundation and SFAFT BV the right and license to utilize DAI¡¯s Marks in the administration of the advertising fund for the benefit of SUBWAY® franchisees.
G. Franchisees are organized by designated geographic areas which can constitute local and/or country markets. The Franchisees in the market 457-0, Beijing, China (the ¡°Market¡±), together with the Foundation Board have agreed to retain Agency to provide certain services as described in this Agreement. Agency acknowledges that the advertising services provided in accordance with this Agreement will not only benefit the Market, but also benefit the SUBWAY® System and brand as a whole.
H. Agency is a service provider, vendor or other supplier of advertising services in the Market. Agency has agreed to perform those advertising services set forth below in accordance with the policies and procedures established by the Foundation Board.
AGREEMENT
NOW, THEREFORE, in consideration of the foregoing and other good and valuable consideration, the receipt and sufficiency of which is acknowledged by the parties, the parties agree as follows:
1. Definitions.
For the purposes of this document, the following terms shall have the meanings specified in this Paragraph 1, unless the context in which they are used requires otherwise. All terms and words in this Agreement will be deemed to include the correct number, singular or plural, and the correct gender, masculine, feminine, or neutral, as the context or sense of this Agreement may require.
a) ¡°Advertising Review Board¡± or ¡°ARB¡± means a group of individuals designated by DAI and SFAFT BV, with expertise in various fields, who provide input regarding the creative direction of local advertising and use of the SUBWAY® trademarks. All advertising and promotional materials developed and/or produced for a market with a minimum number of required Restaurants (currently 100 Restaurants, which is subject to change) must be reviewed by the ARB for approval;
b) ¡°Affiliate¡± means a person or entity that directly or indirectly, through one or more intermediaries, controls, is controlled by, or is under common control with, another person or entity;
c) ¡°Franchisee Advertising Fund¡± shall mean the contribution that the Franchisees are obligated to pay in accordance with their Franchise Agreement, representing a percentage of gross sales to fund advertising programs designed to build Subway® Restaurant sales and Subway® brand awareness worldwide, produce advertising materials for the use of Subway® Restaurant owners and pool resources to purchase media exposure;
d) ¡°Gift Policy¡± shall mean a written statement, developed by the Foundation Board and approved by DAI and/or the Franchisors, which sets out the parameters under which Foundation Board members, Local Board members (defined below), and/or employees of SFAFT BV may accept gifts or other personal benefits or gratuities;
e) ¡°Governance Manual¡± shall mean the set of rules and regulations established by the Foundation Board, as amended from time to time, for the regulation and management of the affairs of the Franchisee Advertising Fund;
f) ¡°Local Advertising Board¡± or "Local Board" shall mean a group of five (5) or more franchisees from a local market of at least ten (10) restaurants, elected by the members of the market, which assists in coordinating local market advertising under the oversight of the Foundation Board, as administered by SFAFT BV;
g) ¡°Local Advertising Representative¡± or "Local Rep" shall mean a Franchisee from a local market of ten or fewer stores, elected by his fellow Franchisees in said market, who represents that market in identifying and addressing the advertising needs and objectives for the market under the oversight of the Foundation Board, as administered by SFAFT BV.
2. Appointment of Agency.
In accordance with the approval of the Foundation Board, SFAFT BV and the local Franchisees desire to appoint Agency, on a non-exclusive basis, and Agency accepts the appointment to provide advertising services to SFAFT BV and the Franchisees in the Market, for developing and carrying out marketing/advertising programs in accordance with the terms and conditions set forth in this Agreement.
3. Term of Agreement.
The term of this Agreement shall be for one year from the date first written above and shall renew automatically for additional one year periods unless terminated earlier in accordance with Paragraph 13 below.
4. Agency Services.
During the term of this Agreement, Agency will perform the advertising services which are requested from time to time by the Local Rep or the Local Board, as applicable, subject to SFAFT BV¡¯s approval as described in Paragraph 5 below. To the extent so requested, and without in any way limiting the advertising services of Agency, Agency will:
a) Develop an advertising and promotional strategy based on the advertising budget for the Market;
b) Place advertising in the various media in accordance with the Market's budget and strategy;
c) Develop promotional and advertising programs, and;
d) Negotiate, arrange and contract for any third party services needed for the Market's marketing/advertising programs, for example, photography, models or other talent, directors, producers, editors, etc. special effects, layouts, art work, and printing.
5. Agency Duties.
In connection with its performance of advertising services under this Agreement, Agency will:
a) Undertake only those services as may be specifically requested from time to time by the Local Rep or the Local Board, subject also to the prior approval of SFAFT BV as required;
b) Obtain the approval of the Local Rep or the Local Board for all advertising programs, promotions, media placements and production, subject also to the prior approval of SFAFT BV as required;
c) Follow all of the procedures outlined in the Governance Manual, and any other procedural manual which may be implemented or otherwise required by SFAFT BV, as they may be revised, amended or otherwise modified from time to time;
d) Submit all proposals for locally produced advertising materials to the Advertising Review Board in a timely manner for approval prior to production;
e) Obtain the prior approval of SFAFT BV for any extensive creative materials, when the cost of production of the materials will exceed the budget guidelines as outlined in the Governance Manual;
f) Make timely payment to all persons and/or firms supplying goods and/or services in connection with SUBWAY® advertising and promotional programs in the Market, if Agency retained said person or firm with appropriate prior approval, and SFAFT BV has authorized Agency to pay said person or firm on the Market¡¯s behalf. However, SFAFT BV reserves the right to remit payment directly to such persons and firms retained by Agency, on the Market¡¯s behalf;
g) Maintain complete and accurate books and records regarding all services performed for SFAFT BV and/or the Market by Agency and all goods and services purchased from third parties for a period not less then five (5) years from the date of performance or purchase;
h) Maintain proper documentation to accompany each invoice submitted to SFAFT BV for payment, as outlined in the Governance Manual;
i) Use computerized invoicing and accounting systems;
j) Use computerized media buying systems that report data in an electronic format that can be linked to SmartPlus or another compatible system that may be developed in the future, and which is approved by SFAFT BV;
k) Send Agency¡¯s local media staff, if requested or required by SFAFT BV, to annual training classes/seminars designated by SFAFT BV.
l) Subscribe, at its own expense, to the media resources designated by SFAFT BV (as applicable to the buying required for SFAFT BV and/or the Market);
m) Carry Advertising Agency Liability Insurance (also known as Media Perils Liability Insurance) at its own expense, with a reputable insurance company, providing insurance protection for DAI, the SFAFT Foundation, SFAFT BV, the Franchisors, the Franchisees and the Market for a minimum amount designated herein, and not terminate, cancel or materially modify this insurance coverage without thirty (30) days prior written notice to SFAFT BV. Minimum required insurance amounts are as follows:
i) for Markets with less than one hundred (100) Restaurants ¨C one million dollars ($1,000,000)
ii) for Markets with more than one hundred (100) Restaurants ¨C five million dollars ($5,000,000)
iii) for National Markets in Developed Countries (meaning a country or region designated by the Franchisor as having reached a significant restaurant density) ¨C ten million dollars ($10,000,000);
n) Allow SFAFT BV, at any time during normal business hours, to perform an accounting audit of Agency's books, in so far as they relate to the business carried out on behalf of SFAFT BV and/or the Market, including, without limitation, access to information relating to the handling of the Market's account, such as invoices, vendor/media payments, bank deposits, time records, and remittances;
o) Present monthly cash flow reports, on a quarterly basis, to the Market's Local Board or Local Rep, as the case may be, with copies to SFAFT BV;
p) Present quarterly media plans, including flight weeks, media costs and weights, to the Market's Local Board or Local Rep, as applicable, with copies to SFAFT BV;
q) Present to the Market's Local Board or Local Rep, as the case may be, a post-buy analysis (independent of the report from SFAFT BV¡¯s) after each campaign in the Market;
r) Present a semiannual report to the Market's Local Board or Local Rep, as applicable, on competitive media expenditures of other Quick Service Restaurants ("QSRs"), with a copy to SFAFT' BV;
s) Provide to the Market's Local Board or Local Rep, as the case may be, an analysis of each promotional recommendation for the Market, including the total cost to the Market for the value received;
t) Provide to the Market an annual business review, including a situation analysis, a competitive report, an analysis of the Subway® brand¡¯s local strengths and weaknesses and a strategic plan for the next year; and send a copy of this review to SFAFT BV;
u) Have and maintain during the term of this Agreement, e-mail and Internet capabilities for communication with SFAFT BV, and the computer capabilities to send and accept artwork via the Internet;
v) Promptly remit to SFAFT BV, unless otherwise approved by SFAFT BV, any and all third party funding received on behalf of the Market or SFAFT BV, for posting to the appropriate SFAFT BV fund and for disbursement on behalf of the Market by SFAFT BV;
w) In cases where SFAFT BV has authorized Agency to remit payment on its behalf directly to a person or firm supplying goods and/or services in connection with SUBWAY® advertising and promotional programs in the Market, to use the income received on behalf of SFAFT BV or the Market only for the payment of such expenses related to SFAFT BV or the Market, and not the expenses of Agency or its other clients or any other person or entity, and;
x) Prevent the acceptance of any gifts offered to the Market or the Franchisees by media or other businesses within the Market or otherwise, except those gifts, if any, which are of nominal value and will not influence the purchase of advertising, and in all events, to use its best efforts to use any gifts which are accepted by the Market or the Franchisees in a market-wide promotion or giveaway, so that the gifts will benefit the entire Market. Agency will manage receipt and disbursement of gifts according to SFAFT BV¡¯s Gift Policy.
y) Insure that the personal data of Franchisees, employees of SFAFT BV, the SFAFT Foundation, DAI or the Franchisors, or customers of SUBWAY® Restaurants, which may be obtained by Agency in the course of fulfilling its duties and responsibilities under this Agreement, is maintained in accordance with SFAFT BV¡¯s and/or the Franchisors¡¯ privacy requirements. Agency acknowledges that SFAFT BV and the Franchisors have published Privacy Policies that protect the personal information of the Franchisees, employees and customers of SUBWAY® Restaurants. Agency will not use, sell or otherwise re-market this information and will ensure that any third party service providers engaged by Agency adhere to the same standards set forth in SFAFT BV¡¯s and/or the Franchisors¡¯ Privacy Policy and this Agreement.
6. Trademark Use.
Agency acknowledges that this Agreement does not grant it a license to the Marks; rather Agency is providing services to place the Marks in advertising for the Market. All materials bearing the Marks must be appropriate for, or relate solely to furthering the purposes of this Agreement and according to the following terms:
a) The Marks include, but are not limited to the following marks registered to DAI in the United States and which may be registered in other countries including _______China________: SUBWAY®, SUBWAY®

logo, SUBWAY EAT FRESH® and SUBWAY FRESH FIT®.
b) Agency will promote the SUBWAY® brand only in a manner which maintains and enhances the goodwill associated with the Marks. Agency will not promote the SUBWAY® brand in a manner which degrades, diminishes, or detracts from the goodwill of the business associated with the Marks, nor shall Agency place the Marks in a manner which is scandalous, immoral, or satirical.
c) Agency will not register, or attempt to register, any trademark used in or for the SUBWAY® System.
6.1 Permission to print the Mark ¡°SUBWAY¡± or any other Mark owned by DAI, or licensed by DAI to SFAFT BV or to a third party is only as stated in Paragraph 6 above. Nothing in this Agreement grants Agency any right, title or interest in the word ¡°SUBWAY¡± (either alone or in association with other words or names) or in the corporate names ¡°Doctor¡¯s Associates Inc.¡±, ¡°Subway Franchise Advertising Fund Trust BV¡± and/or ¡°Stichting Administratiekantoor Subway Franchisee Advertising Fund¡±, or any part thereof, or in any other Mark adopted by DAI, or any copyright or goodwill of DAI and/or SFAFT BV.
6.2 No permission or right is given under this Agreement to Agency to use any DAI owned or licensed Mark in connection with the corporate firm trade name or trade style of Agency. Agency further agrees not to contest or dispute, directly or indirectly, DAI¡¯s proprietary interest in or ownership of the Mark ¡°SUBWAY¡± or any Marks owned or used by DAI and licensed to SFAFT BV.
7. Agency Compensation.
7.1 Agency will be compensated at the rates set forth in Schedule 1 attached to this Agreement and incorporated by reference herein. Each invoice from Agency will be paid by SFAFT BV, subject to the following conditions:
a) the Market's Local Rep or the Market's Local Board has approved the expense(s) shown on the invoice;
b) the SFAFT Foundation has previously approved the Market's local advertising budget;
c) the invoice does not exceed the Market's budgeted amount for the appropriate expense category;
d) the invoice is accompanied by the required documentation, and;
e) if ARB approval is required for the asset, the corresponding invoice will bear the ARB approval number.
7.2 Agency will give SFAFT BV and the Local Rep or the Local Board, as applicable, at least ninety (90) days' written notice of any proposed increase in the rates set forth on Schedule 1. The new fee(s) under any proposed rate increase will apply only with respect to services rendered after the Increase Effective Date (defined below). The Increase Effective Date will be the later of: (i) the date on which the ninety (90) day notice period ends, or; (ii) a later date agreed to by Agency. The increased rate(s), however, will not apply to media commitments previously made by Agency for advertising which will not be aired, published or distributed until after the Increase Effective Date. A proposed rate increase will be effective only if it is approved in writing by the Local Rep or the Local Board, as the case may be, and SFAFT BV, as evidenced by an amended Schedule 1 initialed by all of the parties and noting the Increase Effective Date.
8. Compliance with Laws.
Agency will be responsible for ensuring that all SUBWAY® advertising and publicity prepared and/or placed by it is in compliance with all applicable legal requirements, laws and regulations relating to advertising and promotional activities in the country/territory in which the advertising is purchased, aired and/or performed. Where applicable laws conflict or differ, the higher standard shall prevail. Agency agrees it will use its best efforts and exercise its best judgment in the preparation and placing of all advertising and publicity with a view to avoiding any claims, proceedings or suits being made or brought against the Franchisees, the Market, SFAFT BV, the SFAFT Foundation or DAI. Agency acknowledges that it is their responsibility to obtain an independent legal opinion in writing from a qualified legal professional, which SFAFT BV reserves the right to approve, and which will be submitted to either SFAFT BV or the ARB, as the case may be, stating that the proposed advertising campaigns/programs meet legal requirements in the area/territory where the advertising will take place, if requested by SFAFT BV. Reimbursement for said legal opinion may be provided by the Market. In performing its services under this Agreement, Agency will obtain valid and binding releases, licenses, permits or other authorization, which will also cover SFAFT BV, the SFAFT Foundation, the Market and the Franchisees, prior to its use of any photographs, copyrighted materials, artwork or any other property or rights owned by or belonging to third parties.
9. Credit Checks and Background Searches.
Upon request of SFAFT BV, Agency will provide SFAFT BV with financial information sufficient to demonstrate Agency¡¯s financial condition, such as annual or quarterly reports, bank references, or other information reasonably requested by SFAFT BV. Agency authorizes SFAFT BV or its designee to perform a credit check of Agency¡¯s finances and background. Agency acknowledges that it is SFAFT BV¡¯s intent to comply with all anti-terrorism laws, including but not limited to those enacted by the U.S. Government and the country in which Agency resides, operates or has its primary seat of business. Agency further acknowledges that SFAFT BV may not carry on business with any person or entity officially recognized by the U.S. Government as a suspected terrorist, or with anyone otherwise associated, directly or indirectly, with terrorist activities.
9.1 The Parties agree that if, at any time during the term of this Agreement, it is determined that Agency is associated, directly or indirectly, with terrorist activities, this Agreement will be terminated immediately. Agency represents that that it is not now and has never been engaged in terrorist activities or suspected of being associated with terrorist activities, either directly or indirectly.
9.2 Agency acknowledges and agrees that, from time to time, circumstances may arise where SFAFT BV is required to conduct an investigative background search into Agency, Agency¡¯s employees, or Agency¡¯s subcontractors. Agency authorizes SFAFT BV or its designee to conduct an investigative background search, as necessary, which may reveal information about the business experience, educational background, criminal record, civil judgments, property ownership, liens, associations with other entities or individuals, creditworthiness, and contractual performance history of Agency, Agency¡¯s employees or Agency¡¯s subcontractors.
10. Independent Contractor Status and Compliance with Laws.
10.1 For the purposes of this Agreement and all services to be provided hereunder, the parties are and shall be deemed to be, independent contractors and not agents or employees of the other party. The parties do not have and are not to be deemed to have the relationship of principal/agent, joint venture or partnership. Neither party shall have authority to make any statements, representations nor commitments of any kind, nor to take any action which shall be binding on the other party, except as may be expressly provided for herein or authorized in writing. Nothing herein shall be deemed to constitute a party as the agent or legal representative of another party, nor to constitute the parties as joint venturers, and no party has granted another the right to bind it in any manner or thing whatsoever.
10.2 All persons employed by Agency in the performance of services under this Agreement will be under the sole and exclusive direction and control of Agency and will not be considered for any purpose to be the employees of SFAFT BV, the SFAFT Foundation, the Market or the Franchisees. Agency is, and will at all times remain, an independent contractor and will be responsible for and promptly pay all taxes chargeable or assessed with respect to its employees, including without limitation social benefit, unemployment, withholding, and/or other applicable tax. Agency, during the term of this Agreement, will comply with and at Agency's sole expense, with all applicable labor laws and regulations which may apply to Agency as an employer.
11. Indemnification.
Agency will indemnify and hold harmless DAI, the Franchisors, SFAFT BV, the SFAFT Foundation and their affiliates as well as the shareholders, directors, officers, agents, representatives and employees of DAI, the Franchisors, SFAFT BV and the SFAFT Foundation, and their affiliates, the Market and the Franchisees (together, the "Indemnitees") from and against all claims, demands, costs, expenses (including reasonable attorneys' fees), liabilities, suits, and proceedings (including any claims brought in or before any court, administrative body, government agency, arbitration panel or other tribunal) involving any of the Indemnitees on account of or arising out of: (i) any advertising materials prepared by Agency under this Agreement which give rise to any claim pertaining to libel, slander, defamation, infringement of intellectual property rights, invasion of privacy, piracy and/or plagiarism, or; (ii) any breach of this Agreement by Agency, which indemnification shall not be relieved by any insurance carried by Agency.
12. Agency Work for Other Clients.
Agency represents, warrants and agrees that:
a) as of the date of this Agreement, it is not performing any services for any other QSR or SUBWAY® competitor;
b) it is under no contractual obligation to perform services for any other QSR or SUBWAY® competitor after the date of this Agreement, and;
c) its performance of any services that are in violation of this Paragraph 12 will constitute a material breach of this Agreement.
13. Termination.
13.1 Either SFAFT BV or the Franchisees through the Local Rep or the Local Board, as applicable, may terminate this Agreement at any time by giving Agency written notice at least sixty (60) days prior to the effective date of the termination (the "Termination Notice"). Following receipt of the Termination Notice, Agency will not commence work on any new advertising or marketing materials without SFAFT BV's express prior written approval, however, Agency will complete all assignments previously approved by SFAFT BV.
13.2 Agency may terminate this Agreement at any time by giving SFAFT BV written notice at least sixty (60) days prior to the effective date of termination. If Agency has received payment for all invoices properly submitted by it to SFAFT BV, Agency will complete all assignments previously approved by SFAFT BV if requested by both the Local Rep or the Local Board, as the case may be, and SFAFT BV.
13.3 Either SFAFT BV or the Franchisees through the Local Rep or the Local Board, as applicable, may terminate this Agreement at any time, effectively immediately, by written notice to Agency, in the event of any of the following:
a) Agency breaches Paragraph 12 of this Agreement;
b) An officer of Agency is convicted of a crime of moral turpitude, or the occurrence of an event or of a circumstance involving Agency which, in the sole and exclusive determination of SFAFT BV, reflects unfavorably on the image or reputation of the SUBWAY® brand, SFAFT BV, the SFAFT Foundation, the Franchisees or the Market;
c) The improper use by Agency of funds provided by SFAFT BV;
d) Agency fails to adhere to the required policies and procedures of SFAFT BV, set forth in this Agreement and/or the Governance Manual;
e) Agency discontinues its business, files or has filed against it a petition in bankruptcy, reorganization or for the adoption of an arrangement under any present or future bankruptcy, reorganization or similar law, makes an assignment for the benefit of its creditors or is adjudicated bankrupt, or a receiver, trustee, liquidator or sequestrator of all or substantially all of Agency¡¯s property is appointed, or any secured creditor of Agency exercises or purports to exercise any right or remedy as a secured creditor with respect to any collateral consisting, in whole or in part, of any of the services hereunder or any of the results, products or proceeds thereof or otherwise that would hinder, impair, prevent or delay Agency¡¯s ability to timely and properly, perform and discharge all of its obligations and liabilities pursuant to this Agreement. In the event this Agreement is terminated pursuant to this provision, Agency agrees, that Agency, its receivers, representatives, trustees, agents, administrators, successors and/or assigns shall only sell, dispose of, market, or in any way deal with any of the services hereunder or any materials, bearing the SUBWAY® trademarks, copyrighted materials, or other proprietary materials associated with the SUBWAY® System, or any other marks owned by DAI, as instructed in writing by SFAFT BV;
f) Agency fails to pay vendors for work done under this Agreement in a timely manner after receipt of funds for the work from SFAFT BV, or;
g) Agency is subject to an administrative or judicial order or ruling, or is involved in an administrative or judicial proceeding, which, in the sole and exclusive determination of SFAFT BV, places the Agency in a position that is detrimental to the image or reputation of the SUBWAY® brand, SFAFT BV, the SFAFT Foundation, the Franchisee or the Market.
13.4 This Agreement will continue in full force and effect until it is terminated in accordance with this Paragraph 13, including its Subparagraphs.
13.5 The terms and provisions of Paragraphs 6, 8, 10, 11 and 14 of this Agreement will survive its termination.
14. Proprietary and Confidential Information.
Agency shall treat and maintain all confidential and proprietary information (as defined below in Paragraph 14.1) of DAI, the Franchisors, the SFAFT Foundation, SFAFT BV and/or their affiliates as confidential and shall not, at any time, without the express written consent of SFAFT BV:
a) disclose, publish, or divulge any confidential and proprietary information (as defined below in Paragraph 14.1) to any person, firm, corporation or other entity; or
b) use any confidential and proprietary information (as defined below in Paragraph 14.1), directly or indirectly, for Agency¡¯s own benefit or the benefit of any person, firm, corporation or other entity, other than for the benefit of DAI, the Franchisors, the SFAFT Foundation or SFAFT BV.
14.1 Confidential and proprietary information includes, but is not limited to: customer lists, lists of suppliers, products, recipes, formulas, specifications, food preparation procedures, devices, techniques, plans, business methods and strategies, organizational structure, financial information, marketing and development plans and strategies, advertising programs, creative materials, media schedules, business forms, drawings, blueprints, reproductions, data, Franchise Agreements, franchisee lists, mailing lists (including names, addresses and telephone numbers), business information related to franchisees, pricing policies, trademarks, published materials including the mark SUBWAY and variations thereof, documents, letters or other paper work, trade secrets and know-how, including similar information pertaining to DAI, the Franchisors, the SFAFT Foundation and/or SFAFT BV (¡°Confidential Information¡±).
14.2 Agency acknowledges and agrees that the Confidential Information was developed and designed by DAI, the Franchisors, the SFAFT Foundation and/or SFAFT BV at great expense and over lengthy periods of time, is secret, confidential and unique, and constitutes the exclusive property and trade secrets of DAI, the Franchisors, the SFAFT Foundation and/or SFAFT BV.
14.3 In the event that Agency is requested or required (by oral questions, interrogatories, requests for information or documents in legal proceedings, subpoena, civil investigative demand or similar process) to disclose any part of Confidential Information, Agency will provide SFAFT BV with prompt written notice of any such request or requirement, unless prohibited by law, so that DAI, the Franchisors, the SFAFT Foundation and/or SFAFT BV may seek a protective order or other appropriate remedy and/or waive compliance with the provisions of this Agreement. If in the absence of a protective order or other remedy or receipt of waiver by SFAFT BV, Agency is nonetheless in the opinion of its legal counsel, legally compelled to disclose Confidential Information to any tribunal or else stand liable for contempt or suffer other censure or penalty, Agency may, without liability hereunder, disclose to such tribunal only that portion of Confidential Information which such counsel advises Agency is legally required to disclose.
14.4 Because of the unique nature of the Confidential Information, Agency acknowledges and agrees that any disclosure in violation of Agency¡¯s obligations under this Agreement, or use of Confidential Information by Agency other than for the sole benefit of SFAFT BV, the SFAFT Foundation, DAI, the Franchisors or their affiliates and the System, would be wrongful, and would cause irreparable injury to DAI, the SFAFT Foundation, SFAFT BV, the Franchisors or their affiliates and that monetary damages would be inadequate to compensate DAI, SFAFT BV, the SFAFT Foundation, the Franchisors or their affiliates for such breach. Accordingly, Agency acknowledges and agrees that in the event of any such violation, notwithstanding the provisions of Paragraph 15, SFAFT BV and/or DAI together with any of their affiliates is authorized and entitled to obtain preliminary and permanent injunctive relief from any court of competent jurisdiction. SFAFT BV and/or DAI may also proceed under Paragraph 15 to obtain an equitable accounting of all profits or benefits arising out of such violation, which rights and remedies shall be cumulative and in addition to any other rights or remedies to which SFAFT BV, DAI or their affiliates may be entitled.
14.5 Agency agrees that it will not disclose Confidential Information to any other directors, officers, agents, and employees except those who need such Confidential Information to carry out the purposes of this Agreement. Agency will only reveal or transmit the Confidential Information to such persons after advising them that the Confidential Information has been made available to Agency subject to this Agreement and such persons agree in writing to be bound by the Confidentiality terms of this Agreement. In the event that Agency is using a subcontractor, that in the course of its work may be made privy to Confidential Information, Agency shall inform SFAFT BV so that SFAFT BV may arrange for subcontractor to sign a nondisclosure agreement protecting Confidential Information, a copy of which shall be provided to SFAFT BV.
14.6 Agency acknowledges and agrees that all plans, outlines, sketches, copy, layouts and other property and materials, which are either produced by Agency or third parties under this Agreement, or given to Agency by SFAFT BV, a Franchisee, or any related person or entity, are and will be the property of DAI, and upon the termination of this Agreement, all of the property and materials which are in Agency's possession or control will immediately be returned to DAI or to DAI¡¯s designee. The parties recognize that there may be certain circumstances where it will be appropriate and necessary for DAI to waive its ownership interest in specific advertising materials produced, created or otherwise utilized in an advertising campaign. If circumstances arise, and warrant that DAI waive this ownership interest in whole or in part, DAI may do so at its sole discretion and without waiving or limiting any of its rights in the future. Agency further agrees that upon the request of SFAFT BV, Agency will promptly return any written Confidential Information of DAI, the Franchisors and/or SFAFT BV, including all reproductions or copies thereof. Agency¡¯s obligation to maintain the secrecy of DAI¡¯s, the Franchisors¡¯ and/or SFAFT BV¡¯s Confidential Information shall survive the termination of this Agreement.
15. Dispute Resolution.
15.1 Except as provided in this Agreement, any controversy or claim arising out of or relating to this Agreement or the breach thereof shall be settled by binding arbitration, which shall be administered by a neutral arbitrator in accordance with the United Nations Commission on International Trade Regulations and Law (¡°UNCITRAL¡±) Arbitration Rules administered by an arbitration agency, such as the International Centre for Dispute Resolution, an affiliate of the American Arbitration Association at a hearing to be held in New York, New York, USA. The arbitration will be conducted in English and decided by a single arbitrator unless the law of the country where Agency is located requires three (3) arbitrators. Any court having jurisdiction may enter judgment on the arbitrator¡¯s award. Except as provided in this Agreement, all parties must commence and pursue arbitration to resolve disputes before commencing legal action. If either party commences action in any court prior to an arbitrator's final decision on the controversy or claim, then the party so commencing the action will be responsible for all expenses incurred by the parties in the arbitration and the court proceedings, whether or not they are the prevailing party.
15.2 Notwithstanding Paragraph 13.1 above, DAI and/or SFAFT BV may bring an action for injunctive relief in any court having jurisdiction to enforce trademark or proprietary rights, Agency¡¯s warranty it will not provide services to competitors, or the restriction on disclosure of Confidential Information in order to avoid irreparable harm to DAI and/or SFAFT BV, their affiliates and the franchise System as a whole.
16. Governing Law.
This Agreement is governed and construed under the laws of the Netherlands without reference to its provisions as to conflicts of laws.
17. Notices.
17.1 All notices pertaining to this Agreement must be in writing and be hand delivered or sent by recognized overnight delivery service or by certified first class mail, return receipt requested, to the parties at the following addresses (or at another address provided from any party in writing, with proof of delivery to all other parties):

17.2 Notices sent in accordance with Paragraph 17 shall be deemed effective when delivered or when delivery was refused.
18. Assignment and Delegation.
Agency may not assign any rights or delegate any duties under this Agreement to any other person or entity without the prior written consent of SFAFT BV. SFAFT BV may transfer or assign this Agreement without your consent.
19. Waiver.
The failure of a party to object to or to take affirmative action with respect to any breach of this
Agreement shall not be construed as a waiver of the breach or of any future breach.
20. Severance.
If any Paragraph, portion thereof, or part of this Agreement is invalid, it shall not affect the remainder of this Agreement, but shall be severable, and the remainder shall be binding and effective.
21. Entire Agreement; Modification.
This Agreement, together with the Governance Manual and any other procedural manual which may be implemented or otherwise required by SFAFT BV, as those manuals may be revised, amended or modified from time to time, constitute the entire agreement of the parties with respect to the subject matter of this Agreement. This Agreement may not be amended or changed except in a written document properly executed by all of the parties.

1. Join.in is a Suzhou (China) based technology company which holds patents relating to and produces high-end Internet Protocol Television (IPTV) set-top boxes. Join.in is planning to operate IPTV networks based on these set-top boxes in hotels and apartment buildings throughout the People¡¯s Republic of China. Furthermore, Join.in aims to acquire a license to launch one or more IPTV Channels conjointly with one or several Chinese IPTV operators.

2. zeez china is a Beijing (China) and Munich (Germany) media consultancy and rights agency specialized in advising European and Chinese rights owners and broadcasters in all aspects of the acquisition, distribution and exploitation of their media rights. Due to its experience and contacts in the Chinese and international media markets, zeez china is intended to support Join.in sourcing content for the above-referenced IPTV Platforms and in acquiring licenses to launch nation-wide IPTV channels conjointly with Chinese television broadcasters and IPTV operators.

This Agreement comprises all contents and media rights to be acquired and distributed by Join.in on existing and / or future IPTV platforms and in-house entertainment platforms operated or partially operated by Join.in in the Peoples Republic of China (hereinafter referred to as "IPTV Content").

1. Join.in herewith exclusively entrusts zeez china with the marketing of the IPTV Content as well as with the negotiations with arena with respect to compensations.

2. zeez china shall negotiate agreements regarding the IPTV Content on Join.in's behalf. For the avoidance of doubt, however, the parties wish to clarify that all agreements negotiated by zeez china shall be signed by Join.in only and shall require Join.in's written approval to be valid and binding for Join.in.

3. zeez china shall provide Join.in with quarterly summaries of its sourcing efforts and its negotiations.

1. Join.in shall at its very best support zeez china in the sourcing of IPTV Content and in its efforts to acquire / co-operate with regards to a national IPTV license.
¶ÔÓÚzeez china¾ÍIPTVÄÚÈݶø½øÐеIJɹº£¬ÒÔ¼°ÆäΪÁË»ñµÃIPTVÐí¿É¶ø×ö³öµÄŬÁ¦£¬Join.inÓ¦¾¡È«Á¦Ìṩ֧³Ö¡£
2. Join.in shall provide zeez china with all documents and information (including at any time the current status, technical details and business models of any IPTV platform or in-house entertainment platform) that are useful for sourcing the IPTV Content and shall refer to zeez china all inquiries received and approaches made with respect to the acquisition of any IPTV Content immediately upon receipt.

3. Furthermore, Join.in shall provide zeez china request with copies of all agreements regarding the IPTV Content upon signature.

During the term of this Agreement, Join.in guarantees to refrain from entering into similar agreements with any other agency or third party as far as the IPTV Content is concerned.

Consideration
¶Ô¼Û
1. For its contractual performances according to Clause 2, zeez china shall receive a consultancy fee of € 50,000,- (in words: Euro fifty thousand) per annum plus VAT or other local taxes, if applicable. This consultancy fee shall be paid in two equal installments against invoice, one after the signature of this Agreement and the other one on August 31, 2009. The consultancy fee for the Prolongation Term (€ 50.000,-, in words: Euro fifty thousand) shall be payable on or before 28 February and 31 August 2010, respectively.

2. Furthermore, zeez china shall receive a commission of 20 % of all minimum guarantees and revenue shares paid by Join.in to third parties for distribution and broadcast rights to the IPTV Content. Any such commission payments shall be set-off against the consultancy fee stipulated in Clause 5 paragraph 1. Commissions shall be payable within two weeks of any payments affected by Join.in to rights holders and other third parties.

3. The commission due to zeez china under Clause 5 paragraph 2 shall be payable plus VAT, if applicable, and shall be paid to zeez china by Join.in within two weeks after the end of the respective contractual season. zeez china shall be entitled to pro rata down-payments.

4. The parties agree that both parties shall bear their own costs. All costs and expenses of zeez china (i. e. travel expenses, lawyers' and/or other consultants' services) shall be deemed discharged by the above-mentioned consideration.

1. Whenever this Agreement requires the written form, the parties agree that facsimile (fax) but not e-mail shall meet this requirement.

1. Join.in is a Suzhou (China) based technology company which holds patents relating to and produces high-end Internet Protocol Television (IPTV) set-top boxes. Join.in is planning to operate IPTV networks based on these set-top boxes in hotels and apartment buildings throughout the People¡¯s Republic of China. Furthermore, Join.in aims to acquire a license to launch one or more IPTV Channels conjointly with one or several Chinese IPTV operators.

2. zeez china is a Beijing (China) and Munich (Germany) media consultancy and rights agency specialized in advising European and Chinese rights owners and broadcasters in all aspects of the acquisition, distribution and exploitation of their media rights. Due to its experience and contacts in the Chinese and international media markets, zeez china is intended to support Join.in sourcing content for the above-referenced IPTV Platforms and in acquiring licenses to launch nation-wide IPTV channels conjointly with Chinese television broadcasters and IPTV operators.

This Agreement comprises all contents and media rights to be acquired and distributed by Join.in on existing and / or future IPTV platforms and in-house entertainment platforms operated or partially operated by Join.in in the Peoples Republic of China (hereinafter referred to as "IPTV Content").

1. Join.in herewith exclusively entrusts zeez china with the marketing of the IPTV Content as well as with the negotiations with arena with respect to compensations.

2. zeez china shall negotiate agreements regarding the IPTV Content on Join.in's behalf. For the avoidance of doubt, however, the parties wish to clarify that all agreements negotiated by zeez china shall be signed by Join.in only and shall require Join.in's written approval to be valid and binding for Join.in.

3. zeez china shall provide Join.in with quarterly summaries of its sourcing efforts and its negotiations.

1. Join.in shall at its very best support zeez china in the sourcing of IPTV Content and in its efforts to acquire / co-operate with regards to a national IPTV license.
¶ÔÓÚzeez china¾ÍIPTVÄÚÈݶø½øÐеIJɹº£¬ÒÔ¼°ÆäΪÁË»ñµÃIPTVÐí¿É¶ø×ö³öµÄŬÁ¦£¬Join.inÓ¦¾¡È«Á¦Ìṩ֧³Ö¡£
2. Join.in shall provide zeez china with all documents and information (including at any time the current status, technical details and business models of any IPTV platform or in-house entertainment platform) that are useful for sourcing the IPTV Content and shall refer to zeez china all inquiries received and approaches made with respect to the acquisition of any IPTV Content immediately upon receipt.

During the term of this Agreement, Join.in guarantees to refrain from entering into similar agreements with any other agency or third party as far as the IPTV Content is concerned.

Consideration
¶Ô¼Û
1. For its contractual performances according to Clause 2, zeez china shall receive a consultancy fee of € 50,000,- (in words: Euro fifty thousand) per annum plus VAT or other local taxes, if applicable. This consultancy fee shall be paid in two equal installments against invoice, one after the signature of this Agreement and the other one on August 31, 2009. The consultancy fee for the Prolongation Term (€ 50.000,-, in words: Euro fifty thousand) shall be payable on or before 28 February and 31 August 2010, respectively.

2. Furthermore, zeez china shall receive a commission of 20 % of all minimum guarantees and revenue shares paid by Join.in to third parties for distribution and broadcast rights to the IPTV Content. Any such commission payments shall be set-off against the consultancy fee stipulated in Clause 5 paragraph 1. Commissions shall be payable within two weeks of any payments affected by Join.in to rights holders and other third parties.

3. The commission due to zeez china under Clause 5 paragraph 2 shall be payable plus VAT, if applicable, and shall be paid to zeez china by Join.in within two weeks after the end of the respective contractual season. zeez china shall be entitled to pro rata down-payments.

4. The parties agree that both parties shall bear their own costs. All costs and expenses of zeez china (i. e. travel expenses, lawyers' and/or other consultants' services) shall be deemed discharged by the above-mentioned consideration.

4. This Agreement constitutes the full understanding between the parties and cannot be altered of modified except by written agreement signed by both parties. This shall also apply if the written form is to be waived or altered.

5. Should any stipulation of this Agreement be or become invalid, or should any legal loophole arise, the rest of this Agreement shall remain valid if and as far as reasonable. In any such case, both parties undertake to agree on another clause which shall be as close as possible to the parties' original intentions.
