原文: DEFINITION OF "CONFIDENTIAL INFORMATION" 1.1. For the purpose of this Agreement, "Confidential Information" means any information, know-how and data, whether technical or not, that is in the possession of a Party, hereinafter referred as "Disclosing Party" and the disclosure to the other party hereinafter "Receiving Party". Information shall also mean any information developed by the “Receiving Party” which incorporates disclosed information. 1.2. Even the name “Positivo” and the purpose of this agreement are considered “Confidential Information” and can not be disclosed or revealed anytime, to anyone, without prior written authorization. 1.3. Information shall be in any form, whether oral, written or in whatever form tangible or not, such as but not limited to: formulas, algorithms, process, designs, sketches, photographs, plans, drawings, product concepts, specifications, samples ideas, customer, vendor and/or distributor names, pricing information, market definitions, inventions and ideas. 1.4. The undertakings and obligations under this agreement shall not apply to any information which: - is in the public domain at the time of the disclosure or after the disclosure, other than through an act or negligence of the Receiving Party, - is already in the possession of the Receiving Party as a result of its own research, provided that the “Receiving Party” can prove thereof, - has been lawfully received from any third Party; and - is disclosed in response to a valid order or a court order and only to the extent of said orders provided, however, that the Receiving Party shall first notify the Disclosing Party in writing of the order and permit the Disclosing Party to seek any appropriate protective measure. RIGHTS AND OBLIGATIONS 2.1. Each Party undertakes not to use the confidential information disclosed by the other Party other than for the purpose of this agreement and to use information in confidence. 2.2. The Receiving Party undertakes not to make copy of the confidential information, without the prior written approval of the other Party. 2.3. However, this approval shall not be necessary for copies, reproductions or duplications assigned to an internal use, for the purpose set forth above to the employees who need to know this information for the purpose of this Agreement according to item 2.4. below. 2.4. Each Party undertakes to take all measures for the protection of the confidential information of the other Party and to prevent disclosure to any third Party unless if duly authorized in writing by the Disclosing Party. In any case disclosure is permitted to related companies, which are those companies which directly or indirectly controls, is controlled by or is under common control to the Party to this agreement. In addition each Party shall have the right to disclose said information to its employees who need to know this information for the purpose of this agreement. Such employees shall be notified of the confidential nature of such information and the Receiving Party shall have its employees comply with this non disclosure agreement. 2.5. The Receiving Party will celebrate a Secrecy Contract, made part of this Agreement, with all employees who have access to the confidential information. The Secrecy Contract will be delivered by the Disclosing Party to the Receiving Party and shall be signed by Receiving Party employees, subcontracted, services suppliers with no additional change or amendments to its provisions. 2.6. Each Party shall remain the sole owner of the confidential information disclosed to the other Party under this agreement. 2.7. No license or other right, express or implied, is granted by the Disclosing Party to the Receiving Party pursuant to this agreement under any patent right, copyright or other intellectual property right. 2.8. The Receiving Party undertakes not to obtain for itself or others intellectual and/or industrial property rights on the basis of the confidential information. 2.9. Each Party and its representatives will only make use of Confidential Information to negotiate and, where appropriate, to conclude the main contract with the other Party and to comply with the provisions. 2.10. Parties shall take all necessary efforts to minimize the risk of disclosure of Confidential Information, ensuring that only their representatives, whose require knowledge of the Confidential Information has the extent strictly necessary access to it. In any event, the Parties shall be responsible for any breach of this Agreement that may be committed by any of its representatives and take all appropriate measures (including legal) to prevent them from disclosing or using, on a prohibited or unauthorized Confidential Information. 2.11. Parties shall ensure that Confidential Information will not be copied or reproduced in any form or by the Party or its representatives, or any third party without the express written approval of the other Party, except for copies necessary for the production of the main contract. 2.12.
