依据下列定义所述之意向书,缔约各方达成如下协议:
第一条 定义与解释

即与嘉吉签署一项协议后,由中分公司(下称COAMC)承担南通新大所欠江苏银行南通经济开发区支行到期本金五千万人民币及所有到期利息,该贷款协议签署于2008年1月31日
即本协议之期限,为本协议执行之日或收购协议完成之日起三年
1.02本协议中(包括所有表):
(a)除非另有规定,本协议所提及之有关事实陈述及条款即为本协议事实陈述及条款。
(b)本协议所用之“于此”“在此”“下文”及其他类似用词,即指整个租赁协议,而非本协议某一特定条款;
(c)本协议所用之“他”亦包括“她”及“它”,单数用词亦包括复数,反之亦然;
(d)本协议所提及之“人”应包括自然人,法人(不管设立地如何),非法人组织(包括合伙),任何形式的政府部门,机构或当局或其他任何性质之实体;
(e)插入标题仅为便利,不得影响本协议之解释;
(f)本协议提及之任何法律(及其任何附属条款)为现行有效之法律;及
(g)除文意另有所指外,所提及之日期或时间,即在南通提及之日期或时间。
第二条 租赁标的
2.01 依本协议项下之条款,出租方向承租方出租现有并用于港口服务经营之“港口资产”。
第三条 租赁登记
3.01 出租方应按照相关法律法规之要求,负责办理港口资产登记事宜(下称租赁登记),并向承租方提供登记事宜已办理完毕之证书或其他证明文件,为免歧义,租赁登记应包括向土地使用权、房产及港口运营主管部门之登记。
3.02 办理租赁登记事宜过程中,经出租方合理要求,承租方应提供协助。
3.03 若相关主管部门要求办理租赁登记事宜需另行签署有关文件,缔约各方应签署该类文件,若本租赁协议与前述文件有不一致之处,以本租赁协议为准。
第四条 截止日条款
4.01 截止日前或截止日,各方基于上述2.01条之义务取决于下列先决条款的成就(在法律允许范围内,经缔约各方书面同意,可放弃部分或全部):
(a)缔约各方签署收购协议及服务协议;
(b)对港口资产之尽职调查符合承租方之要求,或依承租方要求采取纠正措施;
(c)出租方完成租赁登记;
(d)承租方接收经营港口资产所需之港口业务经营许可证或其他证照。
4.02在截止日,出租方向承租方提交:
(a)证明有关租赁登记已完成之证书及/或相关文件;及
(b)为签署及履行本协议所必须之证明公司表决批准该租赁协议之相关文件;
第五条 租期与租金
5.01本协议在租赁期内有效。若本协议在收购协议截止日终止,缔约各方相互不承担任何先期违约责任。
5.02 本租赁协议有效期内,第一年港口资产总租金为人民币26,500,000元,第二年、第三年均为人民币27,500,000元。
5.03 上述5.02条规定之年租金应按月等额支付。出租方应于每月第【】个工作日前出具加盖相关税务机关印章的正式收据,承租方收到该收据后支付当月租金,首月及最后一月之租金分别按比例计算,于该月最后一工作日前支付。为免疑义,表F明细支付公式及时间表。
5.04 协议有效期内任何一年,若嘉吉粮油(南通)有限公司加工大豆生产食用油超过1.8万公吨,则租金按表F进行调整。承租方应向出租方准确真实地通报嘉吉南通在相关年度的产量。缔约各方同意嘉吉南通之产量依月报表,任何连续十二个月通过新大之实际数量确定。为此,承租方应于每月第【】日提供月报表(下称月报表),提供证明前一个月通过新大实际数量之相关信息及数据。承租方陈述并保证月报表所含之所有信息及数据在其重要方面均为准确真实。
5.05承租方应按月于下月第【】个工作日前向出租方提交报告,格式见表B.
第六条 出租方的陈述、保证及承诺
6.01 依据本协议第十一条、第十二条及披露明细表所列之事项,出租方向承租方做出如下陈述及保证,其于本协议签署日、租赁协议起始日及整个租赁期间真实准确:
(a) 出租方具有签署本租赁及履行其项下所有义务之充分权限及法律权利,本租赁协议构成对出租方有效并具有法律约束力的义务,并可依本协议有关条款强制执行;
(b)本租赁协议所有条款已经出租方公司决议适当授权,本协议之签署与交付符合此等条款;
(c)出租方为港口财产之合法所有人。任何第三方针对出租方港口资产之所有权及/或租赁权提出权利主张或诉讼,由此所生之损害、损失、花费、罚款、开支(包括合理的律师费用)及责任,出租方应保证赔偿,以使承租方免受损失;
(d)除表C所述及本协议签署后,出租方向承租方披露并自动成为表C一部分之要求外,于本协议签署之日,承租方不知道任何实际或潜在的政府或政治团体、军事单位、组织、公司、集体或任何形式的实体及自然人已主张或可能主张其有权使用、占有、控制港口资产或其任何部分,或直接或间接有权要求承租方对港口资产的使用权符合本协议规定以外的条件;
(e)任何口头或书面,限制或可能限制出租方签订本租赁协议并依协议履行义务的权利或权力的协议或协议,无论其性质如何,出租方非其当事人,并不受其约束;
(f)承租方支付租金并履行承诺后,在本协议有效期内,有权使用港口资产,不受侵扰,除非第三方依本协议表C和D所列之情形主张权利;
(g)除缔约各方同意对表D所述情形按其规定处理外,港口资产应保修良好,适于运营,且未设置可能损害承租方占有使用权的任何抵押或其他负担。
依据(1)第十二条所更为明确之出租方责任限制及(2)承租方承认出租方之保证符合披露函所列之事项及有关披露明细表所列之事项,出租方不得被视为违反出租方保证。出租方向承租方承诺,若出租方为能遵守其保证,则赔偿承租方由此造成之损失、损害或承担有关责任,以及由此产生之相关成本、收费、利益、罚款及花费。
第七条 承租方的陈述、保证及承诺
7.01承租方向出租方做出如下陈述及保证,其在作出之日,租赁协议起始日及协议有效期内真实准确:
(a) 承租方具有签署本租赁及履行其项下所有义务之充分权限及法律权利,本租赁协议构成对承租方有效并具有法律约束力的义务,并可依有关条款强制执行。
(b)本租赁协议所有条款已经承租方方公司决议适当授权,本协议之签署与交付符合此等条款。
7.02承租方在此承认其将依据9.1条对港口资产进行检查,并依验收证书所列之条款及验收证书签发日之现存状态对港口资产实际占有,出租方勿需就港口资产之实际状况或港口资产是否适合承租方运营向承租方做任何保证及陈述。
7.03在租赁期间,承租方应:
(a)自费对港口资产进行维护,使港口资产保持租赁起始日时之状况,维持正常之损耗;
(b)按时依本协议约定之方式支付租金;
(c)依据下列8.03条之规定,自行支付港口资产运营所生或相关之开支、费用及收费。包括但不限于天然气及水电使用费等,若承租方无力支付此等使用费用,可由出租方直接即时支付,然后由承租方补偿给出租方;
(d)未经出租方事先书面同意,不得对港口资产或其任何部分作结构上的改动;
(e)不得违反中华人民共和国法律法规在港口资产中保留或存储任何武器,弹药或其他爆炸物或易燃物或危险物品或材料;
(f)不得利用或允许利用港口资产进行任何非法目的;
(g)允许出租方及其授权人员,经事先预约,于任何合理时间进入查看港口资产;
(h)服从并遵守所有与使用运营港口资产相关之法律法规及政府或其他有关主管部门的要求;及
(i)若完全因承租方或其职员或其代理人之渎职行为或疏忽,而致任何人伤害或损害,或因维修之需要,或因火灾、泄露、漫水漏电而致任何之直接或间接损害,由此所致之诉讼请求或权利主张,由承租方自行完全负责。
若承租方未能遵守本协议项下之陈述及保证,承租方承诺向出租方赔偿由此造成的一切损失。
7.04 为配合南通新大催收应收账款,承租方同意在租赁开始后,与欠付南通新大应收账款的客户保持不少于3个月的业务关系,但上述客户主动终止业务关系的除外。
第八条 税费
8.01 若承租方支付由于租赁、运营所生或与此相关的任何税费,出租方负责向承租方全额补偿;
8.02 若出租方支付由于港口资产运营所生或与此相关的任何税费,承租方负责向出租方全额补偿;
8.03 各方分别按照表G支付各自的费税。
8.04缔约各方依本协议第八条所付之费税,应保留其完整的记录,应另一方之合理要求,向其提供该等记录之副本。
第九条 检查 改建与返还
9.01 本协议签署后15日内,出资方与承租方共同对港口资产进行检查。经检验,若资产状况符合承租方要求,缔约各方代表应立即签发验收证书。
9.02本协议有效期内,由承租方占有支配港口资产,并依据有关法律法规的要求确保资产的安全及维护。
9.03 出租方应保留办公室,详见本协议表H。出租方有权查看港口资产,但该等查看应遵守承租方的安全及操作规程。
9.04(a)本协议有效期内,若承租方认为需对港口资产进行任何重大改建,应事先征得出租方同意。该重大改建依缔约各方同意的方式,由承租方单方全额出资,由出租方进行,对此出租方无正当理由不得拒绝。
(b)除上述(a)款外,出租方在此同意,若在整个租赁期间内发生的码头建筑维护费总额不超过人民币1,500,000元(下称码头维护费),则该项费用由出租方承担,超出部分由承租方承担。承租方依据支付码头维护费的有关原始票据及相关文件,有权在租金中减去实际支付的码头维护费用。出租方可以(非必须)在租赁起始日前进行前述码头建筑维护,为进行码头建筑维护,亦可支付相应的费用(下称租赁前码头费用)。若出租方在租赁起始日前支付了租赁前码头费用,则码头维护费用应相应地减去与租赁前码头费用相当的金额。
(c)在租赁期间,承租方事先征得出租方书面同意,对港口进行重大改建,以使港口的登记靠泊能力由5万吨级提高到7万吨级。出租方和承租方应共同讨论并决定该等改建是否可取。该改建工程由承租方全额出资,由出租方进行。若因承租方违反本协议有关条款以外其他原因而致本租赁协议在收购协议完成前终止,则出租方应向承租方补偿截至本租赁协议终止时缔约各方先前商定并实际支付的改建费用,于本租赁协议终止之日起180日内支付给承租方。
第十条 港口运营服务
10.01出租方有权在港口资产内保留办公室供主要管理人员使用,详见表H,但其使用不得影响港口资产的正常运营,出租方应使其主要管理人员在整个租赁期间严格遵守承租方就港口资产规定的安全规则,包括主要管理人员进入港口规则,详见表J。
依本协议,主要管理人员应包括CEO J.David Selvia(司大伟),总经理李朝玉,总经理Nathan D.Osborn,财务经理蒋德梅及其他出租方任命的有关人员。
10.02缔约各方应进行谈判并签订一份详细服务协议,具体规定依缔约各方一致同意,由出租方派至承租方提供特定服务的人员的有关管理,业务,财务和法律事项等。该服务协议应为本协议截止日之条款。
第十一条 违约与终止
11.01若任何一方未能履行本协议项下或依法应当履行的义务,或任何一方对本协议项下的陈述及保证不实或严重偏差,则视为该方违约,另一方有权终止本协议并/或只要出租方有违约行为,承租方同意并承诺依本协议第十二条,其仅有权要求损害赔偿(协议赔偿),则承租方可要求违约方赔偿损失。除协议赔偿外,任何其他损害赔偿,补偿,费用或开支,任何方面的损失(无论是经济还是由于出租人违反本协议而致之损害),承租人无权主张。承租方进一步确认并承认出租方是基于承租方有关协议赔偿安排而签署本租赁协议的。
11.02若承租方违反本协议项下义务未能支付任何一期租金,出租方有权单方决定终止本协议,并有权(非必须)从COAMC获得主要贷款及其累积利息,该贷款由COAMC依特别安排取得(下称COAMC贷款)。若出租方决定依据本条获取COAMC贷款,承租方承诺并保证其将促使COAMC将CAOMC贷款转让给出租方或其指定人员,以便出租方或其指定人员获得COAMC贷款之法律及经济利益。
若因不能归于出租方或非出租方所能控制之原因而致承租方无法使用或运营港口资产,承租方可自行选择终止本协议,不得向出租方要求任何补偿、损害赔偿或费用。若承租方选择不终止本协议,出租方和承租方尽最大努力,排除妨碍本协议之履行的障碍。若本协议终止,承租方得免除支付租赁费之义务。
11.03若出于法律法规或任何出租方无法控制的原因,政府或有关执法部门阻碍出租方履行本协议,或由于政府或其他执法部门而至本协议无法执行,或租赁登记无法完成,各方应进行谈判并寻求其他安排,以期获取相同或相似之经济及商业利益。
11.04 若本租赁协议期间届满或终止时,收购协议仍未完成,承租方应停止运营港口资产,本协议期间终止,缔约各方应共同评估港口资产的状况,并将所有港口资产由承租方移交给出租方,出租方收回之港口资产除正常损耗外,应与租赁起始日保持同样的状况,承租方得为任何丢失/损害资产负责。承租方应证明第八条所列之所有水电燃气费用及其他有关费用已付清。租赁期间因承租方营运港口资产所生之任何责任应在本协议终止或届满时由承租方承担。
第十二条 出租方责任之免除与限制
12.01 若仅因出租方违约行为而致承租方无法依据本协议条款使用或租赁港口资产,出租方在此同意向承租方支付相当于该年度一个月租金的违约损害赔偿金。承租方亦可要求违约损害赔偿金外其他损害赔偿,但出租方向承租方所承担责任累计总额不超过该年度一个月租金(“上限”),包括但不限于因下列一项或多项事由引起之要求(合同或其他)支付之数额:
(Ⅰ)违反出租方所做之保证;
(Ⅱ)有关本协议所列事项之赔偿或补偿;
(Ⅲ)因出租方违反本协议项下义务或承诺而致之请求(包括因出租方违反本协议而致承租方无法使用或运营港口资产)
12.02若仅因依本协议条款租赁出租方之港口资产而致承租方成为任何法律诉讼(第三方请求)一方当事人,出租方应偿付承租方在该第三方请求诉讼所实际承担之责任及相关费用,以一个月租金为限.
12.03此外,缔约各方同意,任何一方违反本协议,若协议之继续履行在法律上可行,守约方有权以特别方式履行本协议。除有权要求本协议项下的金钱赔偿外,若本协议之继续履行在法律上可行,守约方还有权要求违约方以特别方式履行。
第十三条 保密
13.01 租赁期间,缔约各方均同意对其获取之有关本协议及/或另一方及/或收购计划及/或港口资产及/或特别安排之保密信息,不得使用、泄露或转给他人(经正式授权者除外)。在租赁期间及本协议终止之时,该等保密义务均适用于缔约各方。
13.02 依本协议第12条,保密义务在本协议终止后【】年内存续。
第十四条 承租方权利的存续期限
14.01 无论港口资产的所有权及/或相关场所的使用权发生何种转让和变化,承租方依本租赁协议享有的所有及任何权利仍然存续。
第十五条 争端解决
15.01因本协议所生或与本协议有关之任何争议,应提交中国国际经济贸易仲裁委员会(下称CIETAC)仲裁,仲裁应依据该仲裁委当时有效的仲裁规则进行,一裁终局,对缔约各方具有约束力。仲裁为解决缔约各方争议争端之唯一方式,仲裁裁决为终局裁决,对缔约各方具有约束力。仲裁所做之裁判可由任何有管辖权法院执行。
第十六条 附则
16.01本租赁协议语言为英语。若为租赁登记或其他目的,本协议被译成他种语言且与英文有不同之处,以英文本为准。
16.02本协议受益人为缔约各方及各自的承受人与受让人,前述各方均受本协议约束。
16.03本租赁协议为缔约各方就本协议项下的标的达成之完整协议,并取代缔约各方之前所有磋商,谈判,备忘录及协议,下列附件单独并共同构成本租赁协议不可分割部分。

16.04 未经对方事先书面同意,任何一方不得转让本租赁协议项下之任何权利义务。
16.05 本租赁协议为缔约各方及各自承受方及受让方利益所订,对各方具有约束力。
16.06 本协议管理法律为中华人民共和国法律,并据其解释。

LEASE AGREEMENT
This LEASE AGREEMENT is entered into on ___________ by and between:
Co., Ltd. (hereinafter referred to as "Lessor"), a wholly foreign owned enterprise with its registered address at ___________________.
(hereinafter referred to as "Lessee"), a wholly foreign owned enterprise with its registered address at _________________.
RECITALS:
As contemplated in the LOI as defined below, the Parties hereby agree as follows:
ARTICLE 1
DEFINITIONS AND INTERPRETATION
1.01 As used herein and unless otherwise expressly stipulated or otherwise required by the context, the following terms shall have the following meanings (such meanings to be equally applicable to both the singular and plural forms of the terms defined):
“Acceptance Certificate” shall mean a certificate to be signed by respective representatives of the Parties in the agreed form being attached hereto as Exhibit E to this Agreement;
“Agreement” or “Lease” shall mean this Lease Agreement;
Ltd.” or “Cargill”
shall mean a wholly foreign owned enterprise incorporated in the PRC which owns the entire equity interest in the Lessee;
Co., Ltd.”
shall mean another company formed by Cargill which carries on the production of feed protein and other products with soybeans as raw material;
or “Cathay” shall mean a company incorporated in the British Virgin Islands and owning a 100% indirect equity in the Lessor;
“Closing” shall mean completion of all conditions as set out in Article 4 of this Lease Agreement;
“Disclosures Schedule shall mean disclosures of all risk factors, claims and such other matters as more particularly set out in Exhibit I of this Agreement
“HK Nantong” shall mean你 Limited, previously known as Limited, a company incorporated in Hong Kong and owning a 100% equity interest in Nantong Xinda;
“Lease Registration”
shall mean registration of the lease of the Port Assets under this Agreement with the relevant competent agencies as required by the PRC laws and regulations, including agencies in charge of land use rights, buildings and port operation;
“Lease Commencement Date”
shall mean the day immediately following Closing which, subject to completion of all conditions as set out in Article 4 of this Agreement, shall not be later than [ ];
“Lessor Warranties”
shall mean all or any warranties, undertakings, representations, and covenants given by the Lessor under this Agreement
“LOI” shall mean a letter of intent signed by Cargill and Cathay on 14th May 2009;
“” or “Lessor” shall mean Co., Ltd., a wholly foreign owned enterprise incorporated in the PRC and the entire equity interest of which is wholly owned by HK Nantong;
“PRC” shall mean the People’s Republic of China;
“Parties” shall mean the Lessor and Lessee;
“Proposed Acquisition” shall mean the eventual right ofgill and/or its affiliates to acquire a 100% equity interest in Cathay, HK Nantong or Nantong Xinda or all the assets of Nantong Xinda, as contemplated in the LOI;
“Port Assets” shall mean the premises and assets of Nantong Xinda, including land use rights, the jetty, office buildings, warehouses, machinery, all equipment and vehicles, and buildings inside the port’s boundaries, as more particularly set out in Exhibit A to this Agreement. Improvements made to the Port Assets during the term of this Agreement, if owned by Lessee hereunder, shall also be part of the Port Assets;
“Purchase Agreement” shall mean a purchase agreement to be entered into between Cargill and/or the Lessee and/or Cargill’s designated affiliate(s) on one side, and Cathay and/or the Lessor and/or the shareholders of Cathay on the other side, to effectuate the Proposed Acquisition;
“RMB” shall mean Renminbi, the lawful currency of the PRC;
“SEZ”
shall mean the Nantong Economic and Technological Development Zone;
“Special Arrangement” shall mean the arrangement whereby C, (“COAMC”) after signing an agreement with Cargill, took over the outstanding loan owed by Nantong Xinda to Bank of Jiangsu, Nantong Development Zone Branch in the principal amount of RMB 50 million pursuant to a loan agreement made in February 2006 together with all outstanding interests accrued thereon;
“Term of the Lease”
shall mean the term of this Agreement for a period of three years ending on the third anniversary of the Lease Commencement Date or closing of the Purchase Agreement (whichever is the earlier).
1.02 In this Agreement (which shall include all Exhibits hereto):
(a) all references to Recitals and Sections are to recitals and sections in or of this Agreement unless otherwise specified;
(b) the words “hereof”, “herein”, and “hereunder”, and words of similar import when used in this Agreement shall refer to this Agreement as a whole and not to any particular provision of this Agreement;
(c) the masculine gender shall include the feminine and neuter and the singular number shall include the plural and vice versa;
(d) references to persons shall include natural persons, corporations (wherever incorporated), unincorporated associations (including partnerships), any form of government body, agency or authority or any other entity of any nature;
(e) the headings are inserted for convenience only and shall not affect the construction of this Agreement;
(f) any reference to a law means that law (and any subsidiary provisions) as from time to time in force; and
(g) a reference to a date or time is a reference to that date or time in Nantong, unless the context otherwise requires.
ARTICLE 2
SUBJECT MATTER OF THE LEASE
2.01Under the terms and conditions hereof, Lessor shall lease to Lessee, and Lessee shall lease from Lessor, the Port Assets currently owned and operated in port service business by Lessor.
ARTICLE 3
LEASE REGISTRATION
3.01Lessor shall be responsible to complete, to the extent required by the relevant laws and regulations, registrations of the lease of the Port Assets (hereinafter referred to as “Lease Registration”), and provide Lessee with the certificates and/or other documents evidencing completion of Lease Registration. For avoidance of doubt, Lease Registration shall include registration of this Lease with the competent agencies in charge of land use rights, buildings and port operation.
3.02In the process of completing Lease Registration, Lessee shall provide Lessor with assistance at Lessor’s reasonable request.
3.03In case any separate document is to be signed/issued for the purpose of Lease Registration, the parties shall sign/issue, or cause to be signed/issued, such separate document as required by the competent agency. In case of any discrepancy between this Agreement and any said document, this Agreement shall prevail.
ARTICLE 4
CONDITIONS TO CLOSING
4.01The obligations of the Parties under Article 2.01 above shall be subject to fulfillment, prior to or at Closing, of each and all of the conditions precedent as set forth below (any or all of which, to the extent permitted by law, may be waived by written agreement of the Parties):
(a) Signing of the Purchase Agreementand Service Agreement;
(b) The Lessee being satisfied with due diligence investigations over the Port Assets, or corrective actions being taken per Lessee’s request;
(c) Lessor’s completion of Lease Registration; and
(d) Lessee’s receipt of the Port Business Operation Permit and other licenses and permits required for operation of the Port Assets.
4.02 On Closing, Lessor shall deliver to Lessee:
(a) the relevant supporting certificates and/or other documents evidencing completion of Lease Registration; and
(b) the relevant supporting documents evidencing the corporate actions or approvals requisite for execution and performance of this Agreement.
ARTICLE 5
TERM OF THE LEASE AND RENTAL
5.01 This Agreement shall be effective for the duration of the Term of the Lease. In the event this Agreement is terminated upon closing of the Purchase Agreement, save for any antecedent breach hereof the Parties shall have no liability to each other.
5.02 During the Term of the Lease, Lessee shall be obliged to pay Lessor a total rental of RMB 26,500,000 for the first year, and RMB 27,500,000 for each of the second and third years, for the lease of the Port Assets.
5.03 The annual rental as provided in Section 5.02 above shall be paid in equal installments on a monthly basis. Rental for each calendar month during the Term of the Lease shall be paid against Lessor’s presentation of an official receipt with the stamp of the competent tax agency by the __ workday of that month. Rental amounts for the first and last calendar months of the Term of the Lease shall be respectively computed on a pro rata basis, payable before the last workday of the relevant calendar month. For avoidance of doubt Exhibit F details the payment formula and schedule.
5.04 If, for any calendar year during the Term of the Lease, Cargill Grain and Oilseeds (Nantong) Co., Ltd. (“Cargill Nantong”) has a throughput of more than 1.8 million metric tons of soybeans, the rental payable for that calendar year shall be adjusted in accordance with Exhibit F. The Lessee shall be obliged to correctly and genuinely report to the Lessor the annual throughput of Cargill Nantong in the relevant year. The Parties hereby agree that annual throughput of Cargill Nantong shall be determined based upon actual volumes put through Xinda in any 12 month consecutive period as reported under the Monthly Reports. For this purpose, the Lessee shall provide monthly reports (“Monthly Reports”) providing information and data evidencing the actual volume put through Xinda in the preceding month on the [ th] of each month. The Lessee represents and warrants all information and data to be contained in the Monthly Reports will be accurate and true in all material respects.
5.05 Lessee shall submit to Lessor a report on a monthly basis in the form of Exhibit B hereto before the [ ] workday of the following month.
ARTICLE 6
REPRESENTATIONS, WARRANTIES AND COVENANTS OF LESSOR
6.01 Subject to Articles 11 and 12 and all issues set out in the Disclosures Schedule, the Lessor hereby represents and warrants as follows to Lessee, such representations and warranties to be true and correct on the date hereof, on the Lease Commencement Date, and throughout the Term of the Lease, that:
(a) Lessor has full power, authority and legal right to execute and deliver this Lease Agreement and perform all of its obligations hereunder, and this Lease Agreement constitutes valid and legally binding obligations of Lessor enforceable in accordance with the terms hereof;
(b) the execution and delivery of this Lease Agreement to Lessee is in accordance with and all of the terms hereof have been duly authorized by all necessary corporate action on the part of Lessor;
(c) Lessor is the rightful owner of the Port Assets. Lessor shall indemnify and hold harmless Lessee against all damages, losses, costs, fines, penalties, expenses (including reasonable attorney's fees) and liabilities claimed, suffered or incurred in connection with any third party claims contesting Lessor's ownership of and/or Lessor’s right to lease any or all of the Port Assets;
(d) Except those stated in Exhibit C hereto and such other claims which Lessor may from time to time disclose to the Lessee after signing of this Agreement which will automatically and retrospectively form part of Exhibit C, Lessor has no actual knowledge, as at the date hereof, of any actual or potential claim, by any government or political department, military unit, organization, company, collective or any entity in any form, or any individual, that such party has the right to use, occupy, or control the Port Assets or any part thereof or otherwise directly or indirectly subject the Lessee's right to use the Port Assets to any conditions except for those specified herein;
(e) Lessor is not a party to nor bound by any contract or agreement, oral or written, of whatsoever nature, that does now or could restrict Lessor's right or power to enter into this Agreement and perform in accordance with the terms hereof;
(f) Lessee, upon paying the rents and performing the covenants herein provided, shall peaceably and quietly have, hold and enjoy the use of Port Assets during the full Term of the Lease, unless Lessee’s right hereunder is contested as the result of any third party claim disclosed in Exhibit C or D hereto; and
(g) Except for those situations stated in Exhibit D hereto, which the parties agree to deal with in the way provided therein, Port Assets are in good operational repair and working order, and are free of any lien or other incumbencies that will impair Lessee’s right to occupy or use the Port Assets.
Subject to (i) all limitations on Lessor Liabilities as more particularly set out in Article 12 and (ii) Lessee’s express acknowledgement that Lessor Warranties are qualified by the matters set out in the Disclosure Schedules and that the Lessor shall not be nor shall be deemed to be in breach of any Lessor Warranties in respect of matters set out in the Disclosures Schedule, Lessor covenants to indemnify Lessee against all of the loss, damages or liability incurred due to the Lessor’s failure to comply with the Lessor Warranties together with all costs, charges, interests, penalties and expenses incidental or relating thereto properly incurred .
ARTICLE 7
REPRESENTATIONS AND WARRANTIES OF LESSEE
7.01 Lessee represents and warrants as follows to Lessor, such representations and warranties to be true and correct on the date hereof, on the Lease Commencement Date, and throughout the term hereof that:
(a) Lessee has full power, authority and legal right to execute and deliver this Lease Agreement and perform all of its obligations hereunder, and this Lease Agreement constitutes valid and legally binding obligations of Lessee enforceable in accordance with its terms; and
(b) the execution and delivery of this Lease Agreement to Lessor is in accordance with and all of the terms hereof have been duly authorized by all necessary corporate action on the part of Lessee.
7.02 Lessee hereby acknowledges that it will inspect the Port Assets in accordance with Article 9.1, and will take possession of the Port Assets on [the basis of conditions set out in the Acceptance Certificate and the then existing state of repair as at the date of the Acceptance Certificate],and that no warranty, representation whatsoever shall be given by the Lessor to the Lessee regarding physical condition or state of any of the Port Assets or whether the Port Assets are suitable for the Lessee’s operation.
7.03 During the Term of the Lease, Lessee shall: -
(a) at its own expense maintain the Port Assets at least in the same repair and conditions as on the Lease Commencement Date, save normal deterioration and fair wear and tear;
(b) duly and punctually pay the rent to Lessor in the manner provided in this Agreement;
(c) subject to Article 8.03 below, be wholly responsible to pay and discharge all expenses, fees and charges (whether of a capital or recurring nature) arising from or in connection with its operation of the Port Assets, including but not limited to utility fees such as gas, water and electricity charges, provided that if Lessee is unable to pay the utility fees directly then Lessor shall pay the fee at issue timely and Lessee shall reimburse Lessor of the utility payment made by Lessor;
(d) not make any structural alteration to the Port Assets or any part or parts thereof without first having obtained written consent of the Lessor;
(e) not keep or store in the Port Assets any arms, ammunition or other explosive or combustible or hazardous goods or materials in contravention of the applicable PRC laws and regulations;
(f) not use or permit of suffer the Port Assets to be used for any illegal purpose;
(g) permit the Lessor and all persons authorized by it at all reasonable times by prior appointment to enter and view the Port Assets;
(h) obey and comply with all applicable laws, regulations, requirements of Governmental or other competent authority relating to the use and operation of the Port Assets; and
(i) be wholly responsible for any proceedings, actions, claims or demands whatsoever by any person for injury, loss and damage, or loss suffered directly or indirectly as a result of the want of repair or the spread of fire or smoke or the leakage or overflow of water or leakage of electric current solely due to willful misconduct or negligence of the Lessee or its employees or agents.
Lessee covenants to indemnity Lessor of all of the loss, damages or liability incurred due to Lessee’s failure to comply with the representation and warranties under this Agreement together with all costs, charges, interest, penalties and expenses incidental or relating thereto properly incurred.
ARTICLE 8
TAXES AND FEES
8.01 Lessor shall be liable for, and shall keep Lessee fully indemnified in respect of the payment of any fees and taxes arising out of or in connection with the rent and the operation of Lessor.
8.02 Lessee shall be liable for, and shall keep Lessor fully indemnified in respect of the payment of any fees and taxes arising out of or in connection with the operation of Port Assets.
8.03 Each Party shall respectively bear and pay the costs, fees and taxes as set forth in Exhibit G hereto.
8.04 The Parties shall keep full and complete record of all taxes and fees paid by them under this Article 8 and shall, from time to time at reasonable request of the other party, produce true copies of such record to the other party upon request by that party.
ARTICLE 9
INSPECTION, IMPROVEMENTS AND RETURN
9.01Within fifteen (15) days following the execution of this Lease, Lessor and Lessee shall jointly conduct an inspection of the Port Asset. Representatives of both parties shall immediately sign and issue an Acceptance Certificate if the conditions of the Port Asset are found to be in conformity with Lessee’s requirements.
9.02Lessee shall occupy and possess the Port Assets during the Term of the Lease, and accordingly shall ensure the safety and maintenance thereof in accordance with the applicable laws and regulations.
9.03Lessor shall maintain the offices onsite at the Port Assets as specified in Exhibit H hereto. Lessor shall have the right to access and inspect the Port Asses, provided that such access and inspection shall be strictly in compliance with Lessee’s safety and other operational protocols.
9.04 (a) During the Term of the Lease, Lessee may seek for Lessor’s prior consent to any capital improvement to Port Assets that Lessee deems necessary or desirable, and Lessor shall not unreasonably withhold its consent to such improvement provided that the capital improvement shall be carried out by Lessor and wholly financed by Lessee alone in accordance with a mutually agreed mechanism.
(b) Notwithstanding the sub-provision (a), the Lessor hereby agrees to be responsible for expenses to be incurred in the jetty structure maintenance provided that such expenses shall not exceed RMB 1.5 million (“Jetty Maintenance Expenses”). Subject to production of original invoices and such other supporting documents substantiating payment of Jetty Maintenace Expenses, Lessee shall have the right to deduct actually incurred Jetty Maintenance Expenses from the rental payment. The Lessor may (but not obliged to) carry out the aforesaid jetty structure maintenance prior to the Lease Commencement Date and may have therefore incurred expenses (“Pre-Lease Jetty Expenses”) for the purpose of carrying out the jetty structure maintenance. In the event the Lessor shall have incurred any Pre-Lease Jetty Expenses prior to Lease Commencement Date, the cap of Jetty Maintenance Expenses shall correspondingly be reduced by the equivalent sum of Pre-Lease Jetty Expenses.
(c) During the term of the Lease, Leseee may seek Lessor’s prior written consent to carry out a capital improvement to upgrade the port’s registered berthing capacity from 50k DWT to 70 DWT. Lessor and Lessee shall jointly discuss and decide whether such an improvement is desirable. The improvement work shall be carried out by the Lessor but fully financed and funded by the Lessee without any recourse to the Lessor. In the event that the Lease is terminated prior to closing the Purchase Agreement for any reason other than Lessee committing any breach of any term or condition of this Agreement , Lessor will compensate Lessee for the previously agreed and actually paid expenses of this improvement as at the Lease termination date and payment shall be made to the Lessee within 180 days of the Lease termination date.
ARTICLE 10
PORT OPERATION SERVICES
10.01 Lessor shall be entitled to maintain offices onsite at the Port Assets specified in Exhibit H for use by Key Managers, provided, however that use of Key Managers by any key manager(s) of Lessor shall not affect the smooth operation of Port Assets. Lessor shall cause its Key Managers to strictly comply with Lessee’s safety and security rules applicable to Port Assets at all times during the Term of the Lease, including Port Access Rules for Key Managers specified in Exhibit J.
For the purpose of this Agreement, Key Managers shall include CEO J. David Selvia, GM Li Chaoyu, GM Nathan D. Osborn, Finance Manager Jiang Demei and such other persons as the Lessor may nominate
10.02 The Parties shall negotiate and enter into a detailed Service Agreement which sets forth specific managerial, operational, financial and legal terms related to certain staff dispatched by Lessor to Lessee to provide certain services agreed upon by the parites. This Service Agreement shall be a condition to closing of this Agreement..
ARTICLE 11
BREACH AND TERMINATION
11.01Should either party fail to perform any of its obligations hereunder or under the law, or if either party's representation or warranty hereunder is untrue or materially inaccurate, such party shall be deemed to have breached this Agreement and the other party shall have the right to terminate this Lease Agreementand/or to claim damages from the defaulting party provided always that in so far as any breach committed by the Lessor is concerned, the Lessee expressly agrees and acknowledges it shall only be entitled to such damages or compensations
(“Agreed Compensations”) strictly in accordance with Article 12 of this Lease Agreement. Other than the Agreed Compensations, Lessee shall not be entitled to any other damages, compensations, fees or expenses whatsoever in respect of any loss (whether economic , damages it may suffer as a result of any of Lessor’s breach of this Lease Agreement. Lessee further confirms and acknowledges the Lessor is entering into this Lease Agreement upon reliance of the Lessee’s agreement to this Agreed Compensations arrangement.
11.02If Lessee fails to pay any installment of rent in breach of its obligation hereunder, Lessor shall, at its sole discretion, have the right to terminate this Agreement,and shall be entitled (but not obliged) to acquire from COAMC the principal loans together with all interests accrued thereon which COAMC has acquired under the Special Arrangement (“COAMC Loans”). If Lessor shall decide to acquire the COAMC Loans under this provision, Lessee undertakes and warrants that it shall procure COAMC assigning the COAMC Loans to Lessor or its nominees so that Lessor or its nominees shall have acquired all legal and beneficial interests in respect of COAMC Loans.
If Lessee is prevented from using or operating any substantial part of Port Assets for reasons not attributable to Lessor or beyond Lessor’s control, Lessee may in its sole discretion choose to terminate this Agreement without any compensation, damages , fees whatsoever from the Lessor. If Lessee elects not to terminate this Agreement, Lessor and Lessee shall exercise best efforts to remove the obstacle preventing performance of this Agreement. In the event of termination this Agreement, Lessee shall have no further obligation to pay Lease fees.
11.03If, due to regulatory or legal or any other reasons beyond Lessor’s control, Lessor is prevented by any government or regulatory body from performing this Agreement or this Agreement is determined to be void or unenforceable by any government or regulatory body or the Lease Registration cannot be completed, the Parties shall negotiate and seek an alternate arrangement so that the Parties would achieve the same or similar economic and commercial benefits as originally contemplated under this Agreement.
11.04 If closing of the Purchase Agreement has not taken place upon expiry or termination of the Term of the Lease, Lessee shall terminate its operation of the Port Assets, and forthwith upon termination of the Term of the Lease, Lessee shall complete the return of the Port Assets handover procedures with Lessor by delivering up to the Lessor all Port Assets. The Parties shall jointly evaluate the condition of the Port Assets with respect to the Acceptance Certificate. The Port Assets when returned to Lessor shall be in the same repair and conditions as on the Lease Commencement Date, except only for normal deterioration or fair wear and tear, and Lessee shall be responsible for any missing and/or damaged assets. Additionally, Lessee should provide evidence that utility bills and all other expenses provided for under Article 8 are duly paid. Any liabilities arising from Lessee’s operation of the Port Assets during the Term of the Lease shall be borne by Lessee upon the termination or expiration of this Agreement.
ARTICLE 12
EXEMPTION AND LIMITATION OF LESSOR LIABILITIES
12.02 In the event that the Lessee shall be prevented or prohibited from using or leasing the Port Assets in accordance with the terms of this Agreement solely due to breaches committed by the Lessor, the Lessor hereby agrees to pay to the Lessee liquidated damages equivalent to one month’s rental of the current year. Lessee shall have the right to pursue any damages incurred by Lessee beyond the liquidated damages, provided, however that the aggregate cumulative liability of the Lessor to the Lessee shall not exceed the equivalent sum of 1 month’s rental at the material time ("Cap"), including but not limited to sums payable in respect of claims (whether contractual or otherwise) arising out of any one or more of the following:
(i) breaches of the Lessor Warranties;
(ii) any indemnity, damages or compensation in respect of the matters set out in this Agreement;
(iii) all claims for breach by the Lessor of any of its obligations, commitment under this Agreement (including Lessee being prevented from using or operating any substantial part of Port Assets due to any breach of this Agreement by Lessor).
12.03 If the Lessee shall be made party to any legal proceedings (“Third Party Claims”) solely due to the Lessee leasing the Port Assets from the Lessor as per the terms of this Agreement, the Lessor shall indemnify Lessee against any liabilities, costs and expenses arising out of or in connection with such Third Party Claims subject to a cap of 1 month.
12.04 Notwithstanding anything herein, both parties agree that in case of either party’s default under or breach of this Agreement, the non-defaulting party shall be entitled to a specific performance of this Agreement provided that continued performance of this Agreement shall still be legally feasible, and in addition to the right to claim monetary damages hereunder, the non-defaulting party shall have the right to claim for specific performance by the defaulting party if continued performance of this Agreement shall still be legally feasible
ARTICLE 13
CONFIDENTIALITY
13.01 Each Party agrees that it shall not use, divulge or communicate to any person (other than those with proper authority) any confidential information relating to this Agreement and/or the other Party and/or the Proposed Acquisition and/or Port Assets and/or the Special Arrangement which it may have received or obtained during the Term of the Lease. The obligation of confidentiality shall apply to the Parties during the Term of the Lease as well as upon the termination of this Agreement for whatever reasons.
13.02 The obligation of confidentiality as contemplated under this Article 13 shall survive for a period of [ ] years from the date of termination.
ARTICLE 14
SURVIVAL OF LESSEE'S RIGHTS
14.01Any and all of Lessee's rights under this Lease shall survive in case of whatsoever transfer and/or change of the title to the Port Asset and/or use of the relevant site.
ARTICLE 15
SETTLEMENT OF DISPUTES
15.01Any dispute arising out of or in connection with this Lease shall be submitted to China International Economic and Trade Arbitration Commission (CIETAC) for arbitration. The arbitration shall be conducted in accordance with CIETAC’s arbitration rules in effect at the time being. The arbitral award shall be final and binding upon both parties. The arbitration shall be the sole and exclusive forum for resolution of such dispute, controversy or claim, and the arbitral award shall be final and binding upon both Parties. Judgment on the award rendered may be entered in any court having jurisdiction thereof.
ARTICLE 16
MISCELLANEOUS
16.01 This Agreement has been written in the English language. If for Lease Registration or any other purpose this Agreement is translated into another language, and if there is any discrepancy between the English version and such translation, the English language text of this Agreement shall prevail over any translation thereof.
16.02 This Lease is binding upon and made for the benefit for the parties and their respective successors and assigns.
16.03 This Lease constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, memoranda, and agreements between them. The following exhibits shall each and collectively form an integral part of this Agreement:

Disclosure Letter
This is the Disclosure Letter referred to in the lease agreement relating to the lease of the premises and assets of company1 (“Lease Agreement”) entered into on the date hereof between company1(“Lessor”) and company2(“Lessee”).
Unless the context requires otherwise, words and expressions defined in the Agreements have the same meanings where used in this letter.
This Disclosure Letter comprises:-
(i) this letter; and
(ii) the Specific Disclosures Documents (as defined below).
Disclosures
The Lessor believes that there are certain risks and uncertainties involved in the operation of the Port Assets, some of which are beyond the Lessor’s control. The Lessee should carefully consider the matters or facts described below along with other information included elsewhere in the Lease Agreement. The Port Assets could be materially and adversely affected by any of these disclosures. Additional disclosures not presently known to the Lessor, or not expressed or implied below, or deemed immaterial, could also harm the Port Assets.
The Lessee acknowledges and agrees that the representations and warranties set out in the Lease Agreement are made and given by the Lessor subject to the matters disclosed in this Disclosure Letter.
The Lessee further acknowledges, confirms and agrees that:
(a) the Lessor shall not be nor shall be deemed to be in breach of any representations and warranties in respect of the matters or facts disclosed in this Disclosure Letter (including the Schedules to this Disclosure Letter) and that the Lessee shall have no claim in respect of facts or matters disclosed in this Disclosure Letter;
(b) notwithstanding that reference may in some cases be made in this Disclosure Letter to any particular representation or warranty, any information contained in this Disclosure Letter is to be treated as a disclosure in respect of each and every representation and warranty to which such information may be regarded as being relevant and not solely in respect of any particular representation and warranty; and
(c) neither this Disclosure Letter nor any disclosures made in it shall constitute or imply any representation, warranty or undertaking by the Lessor not expressly set out in the Lease Agreement and neither this Disclosure Letter nor any such disclosures shall have the effect of, or be construed as, adding to or extending the scope of any of the representations and warranties.
Where particulars of a matter are set out or referred to in this Disclosure Letter or a document is referred to herein or a clear and fair reference is made to a particular part only of such document and in each case the reference is such as to put a prudent Lessee on notice, full particulars of the matter are deemed to be disclosed if true copies of document(s) containing full particulars of such matter have been provided by the Lessor or its advisers to the Lessee or its advisers or if full particulars of such matter have been set out in this Disclosure Letter, and the full contents of such documents referred to herein are deemed to be disclosed if true copies of such documents have been provided by the Lessor or its advisers to the Lessee or its advisers. Whilst Schedules II and III to this Disclosure Letter set out documents that have been provided by the Lessor or its advisers to the Lessee or its advisers, the Lessee acknowledges that the list/index setting out documents/information provided by the Lessor is by no means exhaustive.
In Schedule I to this Disclosure Letter, specific matters in relation to the representations and warranties have, for convenience, been set against the paragraph number of the representations and warranties to which the disclosure is most likely to relate; however, any disclosure made in this Disclosure Letter shall apply to all the representations and warranties to which it is or may be appropriate and shall not be limited in any way to the specific representations and warranties to which it refers. Each item disclosed in this Disclosure Letter shall be deemed to be a disclosure in respect of all the representations and warranties contained in the Lease Agreement and shall not be limited to the representations and warranties set out in Schedule 1 hereto.
If any inconsistency is revealed between the Lease Agreement and this Disclosure Letter, this Disclosure Letter shall prevail and shall be deemed to be the relevant disclosure.
This Disclosure Letter shall in all respects be governed by and construed in accordance with the laws of Hong Kong.
General Disclosures
This Disclosure Letter shall be deemed to include the following matters which are hereby incorporated into this Disclosure Letter by reference as having been disclosed:
(a) the contents of the Lease Agreement and the contents of all documents referred to in the Lease Agreement;
(b) any and all matters or information which is a matter of public record concerning any of the Port Assets and/or the Lessor which is or would be revealed by any public search that is available on or prior to the date of this Disclosure Letter at the relevant authorities in the PRC;
(c) any and all matters and information disclosed in the correspondence between the Lessor, the Lessee and their respective advisers in respect of the Lease Agreement or other transactions contemplated thereby, communicated in writing in the form of letters or other electronic means such as e-mail and fax; and
(d) the contents of the documents in relation to specific disclosures that have been provided by the Lessor or its advisers to the Lessee or its advisers as more particularly set out in Schedule III attached hereto (the “Specific Disclosures Documents”).
The operation of the Port Assets are conducted in the PRC and is governed by PRC laws and regulations. Since 1979, the PRC legal system is based on promulgated laws, rules and regulations and prior court decisions only act as reference and do not have any binding legal effect. As the laws, rules and regulations are still being developed and previous court decisions are non-binding, interpretation of PRC laws, rules and regulations involves some degree of uncertainty. This may lead to uncertainty with respect to the outcome of the legal cases in the PRC against Nantong Xinda and may result in less favourable interpretation of the laws and regulations as more specifically disclosed in the Schedule.
Specific Disclosures
In relation to the representations and warranties, the specific disclosures listed in Schedule I to this Disclosure Letter are made without prejudice to the generality of the general disclosures in this Disclosure Letter.
Kindly acknowledge receipt of this Disclosure Letter by signing the acknowledgement on this Disclosure Letter and returning the same to us; such signature and return will constitute the Lessee’s confirmation and agreement that both general and specific disclosures set out in this Disclosure Letter are fully accepted by the Lessee for the purposes of the Lease Agreement and on the basis stated in this Disclosure Letter.
This Disclosure Letter may be executed in one or more counterparts and by the parties hereto on different counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.

Specific Disclosures
The following specific disclosures are made in relation to the representations and warranties set out in the Lease Agreement. Any specific disclosure set out herein shall apply to all of the representations and warranties to which it is or may be appropriate and any specific disclosure set out herein shall not be limited in any way to the specific representations and warranties to which it refers below.

Disclosure
The Lessor believes the following information is material for disclosure to the Lessee of the Port Assets:
1. Certain senior staff who were involved in the day to day operation of Nantong Xinda have left in the past year. The Lessor cannot make any representation or warranty that the staff remaining now would remain with Nantong Xinda for the duration of the Term of the Lease or that the operation of the Port Assets had not been affected by the departure of these senior staff.
2. The Lessor has informed the Lessee of the loss of certain senior staff and the Lessor has not made any representation regarding the possible impact it may have on the operation of the Port Assets.
3. There is uncertainty as to whether Nantong Xinda could employ staff to replace certain senior staff that have left the Port Assets or whether the Port Assets has sufficient manpower to cope with the operation of Nantong Xinda. These uncertainties may limit the daily operation of the Port Assets.
Good standing
Cathay is 100% owner of Nantong Xinda Harbour Investment Limited (“BVI Nantong”), a company incorporated in the British Virgin Island. BVI Nantong owns 100% of HK Nantong, which in turn owns 100% equity in Nantong Xinda.
Cathay became 100% owner of BVI Nantong by enforcing a share mortgage on 14 February 2009 whereby China Group Logistics Investment Limited (“CGLI”), the other shareholder of BVI Nantong mortgaged all its shares to Cathay.
The Lessor cannot make any representation or warranty on whether the exercise of the mortgagee power would have any impact on the Lease.
Nantong Xinda has not filed the 2008 audited reports for annual inspection with the relevant Governmental or other competent authority which was due to be filed by [․].
There is a risk that the relevant Governmental or other competent authority may refuse to renew the business license of Nantong Xinda which will expire on [․] because of its failure to file the 2008 audited reports by [․] and the Lessor makes no representation or warranty in this respect.
The Port Assets
The Port Assets are subject to mortgages/charges by Bank of Jiangsu, Nantong Development Zone Branch and Agricultural Bank of China (together the “Banks”) as set out in the Special Arrangement.
There is uncertainty whether the Banks would exercise its mortgagee power over the Port Assets and whether such exercise would have any impact on the Lease or the ability of the Lessor to hold and enjoy the use of the Port Assets during the full Term of the Lease.
Operation of the Port Assets
The Lessor has informed the Lessee that it does not have access to certain offices in the Port Access, particularly the general manager’s office, as it has been sealed off by the Ningbo Court in the PRC.
The Lessor cannot make any representation or warranty on when the Ningbo Court will reopen the sealed offices or when the Lessor will have access to the sealed offices again. The Lessor also makes no representation or warranty on whether more offices or other buildings in the Port Assets would be sealed off by the Ningbo Court or by any other government authority in the PRC.
The Lessor has informed the Lessee that access to the Port Assets may be blocked by staff staging strikes or by other people outside the Port Assets blocking the entrance gates to the Port Assets or to equipment and/or machinery in the Port Assets which may affect the continued daily operation of the Port Assets.
The Lessor makes no representation or warranty that staff at the Port Assets or other people outside the Port Assets would not block access to the Port Assets and/or affect the continued daily operation of the Port Assets.
The Lessor makes no representation or warranty that Nantong Xinda would not, for any reason whatsoever, whether to due customs or immigration or change of laws, rules or regulations in the PRC, lose its licence and/or have its licence revoked to operate the Port Assets throughout the Term of the Lease.
The Lessor cannot make any representation or warranty that it would be able to continue to accept both foreign and domestic vessels at the Port Assets or that it would not be restricted from receiving vessels over a certain size or carrying certain goods or restrict any vessel in any way whatsoever.
The Lessor has informed the Lessee that Nantong Xinda is only licenced to berth [50k DTW vessels.] [SW note: is there a proper phrase we could use here?] For any larger vessels, special approvals from [․] would need to be obtained. It is uncertain whether such approvals from [․] would be granted to Nantong Xinda.
The Lessor has informed the Lessee that the Service Agreement and the services contemplated therein may be outside of Nantong Xinda’s approved business scope.
The Lessor makes no representation or warranty that the arrangement contemplated in the Service Agreement to be performed by Nantong Xinda would be permitted.
Debts
Nantong Xinda owes to the Bank of Jiangsu, Nantong Development Zone Branch a loan in the principal sum of RMB 50 million pursuant to a loan agreement made in February 2006 together with all outstanding interests accrued thereon and to the Agricultural Bank of China a loan in the principal sum of RMB7.5 million pursuant to a loan agreement made in September 2008 together with all outstanding interests accrued thereon (together the “Bank Loans”).
China Oriental Asset Management Company, Shanghai Branch took over the outstanding loan owed by Nantong Xinda to Bank of Jiangsu in the principal sum of RMB 50 million on [date].
The Lessor gives no warranty that the Banks would not call in or enforce the Bank Loans early.
It is uncertain whether the Bank Loans would have any impact on the Lease.
There are uncertainties whether the existence of the Bank Loans would limit the ability of Nantong Xinda to take out any loans in the future with banks in the PRC.
Contractual matters
The agreements as more particularly set out in Part 1 of Schedule II of this Disclosure Letter entered into by Zhu Ming on behalf of Nantong Xinda are not agreements entered into in the ordinary course of business and have resulted in claims amounting to RMB[762,530,617.49] against Nantong Xinda.
The Lessor is unaware of any other agreements entered into which are not in the ordinary course of business apart from those set out in Part 1 of Schedule II of this Disclosure Letter. The Lessor gives no warranty that Nantong Xinda have not entered into any other agreements, whether guarantee, supplier, contractor or otherwise, which are not in the ordinary course of business apart from those set out in Part 1 of Schedule II of this Disclosure Letter and the Lessor will inform the Lessee of any other such agreements as and when the Lessor becomes aware of the same.
Litigation and regulatory matters
1. There are [18] claims against Nantong Xinda in the PRC amounting to more than RMB[762,530,617.49].
The cases are [still ongoing] in [the PRC courts].
The legal proceedings commenced against Nantong Xinda are more particularly set out in Part 1 of Schedule II of this Disclosure Letter.
The Lessor cannot make any representation or warranty on whether claims against Nantong Xinda would have any impact on the Lease.
2. There are 4 cases in the Hong Kong courts involving HK Nantong and Cathay.
The cases are still ongoing in the Hong Kong courts.
The legal proceedings involving HK Nantong and Cathay are more particularly set out in Part II of Schedule II of this Disclosure Letter.
The Lessor cannot make any representation or warranty on whether the claims against HK Nantong and Cathay would have any impact on the Lease.
3. Ning Bo Zhong Rui Tai Feng Food Co. Ltd. (“Ning Bo”) commenced action against Nantong Xinda for sum of RMB125,000,000 plus damages for breach of contract.
The case was settled and details of the claim by Ning Bo are set out in Part 3 of Schedule II.
It is uncertain whether any of the claims, whether successful or not, set out in Schedule II would have any impact on the Lease or whether any party seeking to enforce any judgments against Nantong Xinda would seek to claim ownership and/or take over the Port Assets.
Regulatory matters
The Lessor cannot make any representation or warranty that all licences, records and other statutory requirements required to be held or filed by Nantong Xinda have been filed and are current and/or complete.
The Lessor makes no representation or warranty that Nantong Xinda has complied with all applicable local and/or provincial and/or national requirements regarding environmental laws and/or health and safety requirements.
Housing
There are dormitories and canteen in the Port Assets which will be kept under the Lessor’s management for Term of the Lease, and Lessee will compensate the Lessor for all expenses incurred in relation to the running and maintenance of the dormitories and canteen.
The Lessor has informed the Lessee there are around 100 people living in unlicensed housing near the small jetty in the Port Assets, consisting of some contract workers and some long-term squatters (together the “Squatters”).
The Squatters cannot be removed before the Lease Commencement Date and the issue has been partially resolved by the Lessor by closing the gate into the Port Assets, effectively keeping the Squatters off the Port Assets.
The Lessor will seek government support to relocate the Squatters. The Lessor makes no representation or warranty on whether the government will support the Lessor in relocating the Squatters or the time it may take to relocate them.

1. 涉及南通新大日常运营的某些高级职员去年离职。现在留下的员工在整个租赁期间会留在南通新大,那些高级职员之离职未对港口资产之运营产生影响,对此,出租方无法做出任何陈述或保证。
2. 出租方已告知承租方失去了某些高级职员,但出租方对此事对港口资产之运营可能产生之影响,未作任何陈述。
3. 南通新大能否聘请职员来替代已经离职的高级职员以及港口资产是否有与南通新大运营相应的足够人力,尚存不确定性。该不确定性可能会限制港口资产之日常运营。
状况良好
国泰全资拥有南通新大港投资有限公司(南通BVI),南通BVI为在英属维京群岛设立之公司。南通BVI全资拥有香港南通,香港南通全资拥有南通新大。
2009年2月14日,国泰通过对中协物流投资有限公司(CGLI)执行一项股权抵押全资拥有南通BVI,中协物流投资有限公司将作为南通BVI另一股东将其全部股权抵押给了国泰。
出租方对该抵押权之行使是否对本租赁协议产生影响不作任何陈述或保证。
南通新大未向有关政府或其他职能部门提交有关审计报高进行年检,该年检报表应在【】提交。
存在一个风险,因为南通新大未能在【】提交2008年度审计报告,有关政府或其他职能部门可能会拒绝对南通新大营业执照更新,该执照于【】到期,对此,出租方不作任何陈述或保证。
港口资产
港口资产已抵押给江苏银行南通开发区支行及中国农业银行(合称银行),详见特别安排。

港口资产之运营
出租方无法进入港口资产中的某些办公室,尤其是总经理办公室,因为该办公室已被宁波中院查封,出租方已将此情况告知承租方。
宁波中院何时会对查封之办公室解除查封,出租方何时能进入该被查封办公室,对此出租方无法作出任何陈述或保证。
宁波法院或其他政府机构何时会对港口资产其他办公室或房产进行查封,对此出租方也无法作出任何陈述或保证。
港口资产之通道可能被罢工的员工封堵,港口资产或港口资产的设备及/或机械之入口可能被其他人员堵住,这可能影响港口资产之日常运营。出租方已将此情况告知承租方。
港口资产之员工或港口资产外其他人员不会封堵港口资产通道及/或不会影响港口资产之日常运营,对此出租方不作任何陈述或保证。
无论何种原因,不管是海关或移民还是中国法律、法规或规章之变化等因素,在整个租赁期间,南通新大都不会失去运营港口资产的执照,或致使该执照被取消,对此,出租方不作任何陈述或保证。
出租方能继续在港口资产靠泊中外船只,或其不会被限制只能靠泊特定装载量或装载特定货物之船只,或不会在船只方面有任何限制,对此,出租方不作任何陈述或保证。
南通新大只获准靠泊五万吨位之船只,要靠泊更大吨位之船只,须获得【】之特别批准。尚不确定南通新大能否取得【】批准。出租方已将该情况告知承租方。
服务协议及服务协议项下之服务可能超出了南通新大的批准经营范围。出租方已将该情况告知承租方。
由南通新大履行,服务协议项下之安排会获得批准。对此,出租方不作任何陈述或保证。
负债
依2006年2月签署之贷款协议,南通新大欠江苏银行南通经济技术开发区支行本金RMB五千万元及利息,依2008年9月签署的贷款协议,欠中国农业银行本金RMB七百五十万元及利息(下称银行贷款)。
年 月 日,中国东方资产管理工资接收了南通新大欠江苏银行一笔本金为RMB五千万元的贷款。
出租方不能保证银行不会催收或执行该银行贷款。
银行贷款是否对租赁产生影响尚不确定。
银行贷款之存在是否会限制南通新大将来在中国境内取得银行贷款,尚存在不确定性。
合约事项
有关协议详见本披露函附表Ⅱ第一部分。这些协议由朱明代表新大签订,但并非在正常的业务活动中签订,导致对南通新大RMB762,530,617.49元的权利主张。

房产
在港口资产内有宿舍及餐厅,租赁期间由出租方管理,任何与经营维护宿舍及餐厅相关之所有费用,由承租方向出租方补偿。
大约有100人住在港口资产内小码头附近一间无证照的房屋内,是一些合同工及一些擅自占房者。
租赁起始日前,还不能把这些擅自占房者清理出去,出租方通过关闭港口资产入口的方法,部分解决过此问题,有效地使这些擅自占房者无法进入港口资产。
出租方将寻求政府支持来重新安置这些擅自占房者。出租方对政府是否会支持出租方重新安置这些擅自占房者不作任何陈述或保证。
